Apply & track with Apply EdgeThe Assistant Legal Counsel, Ethics and Compliance provides legal and administrative support to TA'ZIZ’s ethics and compliance activities, assisting with the development, implementation, and monitoring of the company’s ethics and compliance programs under the direction of the General Counsel and (Senior) Legal Counsel. The role helps ensure that the company adheres to all legal and regulatory requirements, as well as internal policies, in support of high standards of ethical conduct. While primarily a compliance role, the position is not exclusive to compliance and also supports the General Counsel and the (Senior) Legal Counsel across the broader legal work of the department, including legal advice, transactional support, and claims. It includes preliminary review of legal documents such as confidentiality agreements, memoranda of understanding, resolutions etc., legal research, and coordination of matters as delegated, together with support for a culture of compliance and assistance on initiatives related to anti-bribery, anti-corruption, and other ethical matters across the organization. The compliance aspects of the role are carried out in conjunction with ADNOC Ethics & Compliance as managing shareholder under Legal Shared Services.KEY ACCOUNTABILITIES:Ethics and Compliance ProgramsAssist in the development, implementation, and maintenance of TA'ZIZ’s ethics and compliance program, helping to ensure it aligns with industry best practices, local laws, and international regulationsSupport the monitoring of compliance with internal policies and external regulatory requirements, including anti-bribery, anti-corruption, and data privacy lawsAssist in providing advice and guidance on compliance risks, ethical issues, and legal requirements to senior management, legal teams, and business unitsCompliance Risk ManagementSupport the business in managing and mitigating the corporate ethics and compliance risks including bribery and corruption; third party integrity; regulatory compliance; market abuse; antitrust and competition; and international trade controls and sanctionsAssist in the implementation and maintenance of appropriate compliance policies, standards, procedures and practice with a view to protecting TA’ZIZ from compliance risks both domestically and internationallyAssist in the implementation of robust compliance practices for effective identification and management of compliance risksAssist in conducting regular assessments to identify, assess, and mitigate compliance risks across TA'ZIZ’s operations and projectsSupport internal compliance investigations and the implementation of corrective actions in response to compliance violationsAssist with coordination of third-party/counterparty IDD screening with ADNOC Ethics & Compliance / Business Integrity before onboardingQUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS: Minimum QualificationBachelor’s degree in law or equivalentMinimum Experience & Knowledge & Skills4 years’ experience of transactional work experience in a reputable international law firm and/or in- house legal department, or2 years’ experience of supporting the development, implementation, and management of ethics and compliance programsExcellent written and verbal communication skills in English.
