Apply & track with Apply EdgeJob PurposeThis role supports the origination, evaluation and execution of joint venture ("JV") transactions across the full investment lifecycle, covering both new growth opportunities and the monetisation, restructuring and exit of existing JV interests, under the direction of the Manager, JV Portfolio & Transactions.The role is responsible for rigorous commercial and financial analysis, including market assessment, business case development, financial modelling, valuation, due diligence and transaction structuring, to support sound investment and divestment decisions and safeguard UEM Sunrise's interests as a shareholder.The role coordinates assigned transaction workstreams across internal functions, external advisers, JV partners and counterparties, and prepares clear, evidence-based recommendations and approval papers for Management, EXCO and the Board. The role supports delivery of the Company's JV growth, capital recycling and value creation objectives.Accountabilities:Evaluate new JV and investment opportunities, assessing strategic fit, partner rationale, market attractiveness, commercial viability, key risks and value creation potential.Support the assessment and execution of monetisation, divestment, restructuring and exit transactions involving existing JV interests, including options analysis, valuation of the relevant stake or asset, pricing strategy, buyer or partner identification and transaction readiness.Develop and maintain integrated financial and valuation models covering project and entity cash flows, funding requirements, shareholder returns, DCF, IRR, NPV, sensitivities and downside scenarios; document and challenge key assumptions.Coordinate assigned transaction workstreams from screening and business case development through due diligence, structuring, negotiation, internal approvals, documentation, signing and completion, with clear deliverables, timelines, dependencies and issue escalation.Support the structuring and negotiation of commercial terms with partners, counterparties and advisers, including valuation and pricing, governance and reserved matters, funding and shareholder arrangements, risk allocation, warranties, conditions precedent and exit mechanisms.Coordinate financial, commercial, legal, tax, technical and operational due diligence, including buy-side and vendor-side workstreams; maintain the issues and mitigation tracker; and ensure material findings are resolved or appropriately reflected in transaction terms and approval conditions.Prepare concise, decision-focused investment and divestment papers, Board and EXCO submissions, and presentation materials setting out the rationale, economics, risks, mitigations, trade-offs, approvals sought and recommended position.Manage information requests, data rooms, adviser deliverables, transaction documentation and decision records, ensuring completeness, consistency, confidentiality and compliance with internal governance requirements and applicable shareholders' agreements.Support post-approval and completion activities, including satisfaction of conditions precedent, closing mechanics, settlement and price adjustments, handover to JV portfolio management, and tracking of agreed value creation or post-completion obligations.Support JV portfolio strategy, land and asset activation, and other strategic, commercial or corporate initiatives as directed by the Manager or Head of Department.
Qualifications
Bachelor’s Degree in Finance, Accounting, Real Estate, Economics, Business, or a related discipline.Professional qualification such as CFA, ACCA, CPA or FMVA is an added advantage.Minimum 3–6 years of relevant experience in corporate finance, mergers and acquisitions, investment banking, private equity, transaction advisory or investment management, preferably in the real estate or property development sector.Demonstrated hands-on involvement in financial modelling, valuation, due diligence and transaction execution; exposure to both acquisition and divestment transactions is preferred.Strong financial modelling and valuation capability across project, entity and equity-level analysis, including funding, returns, sensitivities and downside scenarios.Working knowledge of transaction structuring, due diligence, shareholders’ agreements, corporate governance and definitive transaction documentation.Sound commercial judgement, with the ability to identify material issues and translate analysis into clear, practical recommendations.Able to distinguish clearly between verified facts, management representations, assumptions, analytical conclusions and unresolved matters.Clear and concise written and verbal communication, including preparation of Management, EXCO and Board papers.Effective project coordination and stakeholder management across internal functions, external advisers, JV partners and counterparties.High attention to detail, integrity and discretion in handling confidential and price-sensitive information.Able to manage multiple concurrent transactions and deadlines, work independently and escalate issues promptly.Advanced proficiency in Microsoft Excel and PowerPoint; familiarity with approved AI productivity tools is an added advantage.
