We are looking for an ambitious and proactive Associate Counsel to join our growing Legal Team.As Associate Counsel, you will provide legal advice and help ensure efficiency in legal processes and operations. Day-to-day, you will have the opportunity to support a broad range of legal work, including contract drafting and negotiation, deal execution, regulatory filings, legal research, fund formation and maintenance and various special projects.You will work within a team of accomplished and supportive attorneys to find novel solutions to complex legal and regulatory challenges. No one day will look exactly the same as the next.This role is perfect for those that thrive in a dynamic startup environment, are energized by new challenges, and want to broaden their experience through highly varied work.What you'll do:Provide substantive support for transactions and deals (including fund launches and venture investments)Draft, review, and negotiate commercial contracts, including investor related agreements, vendor agreements and NDAsProvide legal advice on general corporate matters, governance and regulatory matters affecting the business and its initiativesSupport business teams on operational, commercial, and strategic initiatives from a legal perspectiveManage and mitigate legal risk in day-to-day business operationsLiaise with external counsel on specialized legal mattersMaintain corporate records and ensure compliance with statutory obligations and filingsParticipate in knowledge sharing – preparing commentaries and speaking on panels at conferencesOur ideal candidate:3+ years of experience in a legal counsel role, preferably in private practice and/or in the Finance sectorJuris Doctor degree from an accredited law schoolAdmitted to the New York State Bar AssociationKnowledge of digital assets is preferred but not essentialSound judgment and decision-making in a fast-paced environmentStrong drafting, negotiation, and analytical skillsAbility to provide practical, commercially minded legal adviceExcellent communication skills, with the ability to explain complex legal issues to non-legal stakeholdersStrong organizational skills, capable of managing multiple priorities and deadlinesHigh degree of ownership and autonomyAbout usHivemind Capital Partners is a global investment group operating at the intersection of traditional finance and the onchain economy. A standard offer from Hivemind Capital includes base compensation, incentive-based compensation such as discretionary bonuses or upside, and a highly competitive benefits and perks package. Offers are determined by a number of factors including (but not limited to) the applicant's experience, skills, certifications, as well as internal equity among our team.
