Job PurposeTo serve as transaction support for all projects tasked to the Investments and Corporate solutions department.The scope of the I&CS department includes all inorganic investments, corporate solutions as defined per the approved I&CS Procedure Manual and other ad hoc projects tasked by ENOC Leadership.Principal AccountabilitiesLeading and supporting the evaluation & execution efforts of Investment and Corporate Solutions within the I&CSDepartmentTake a lead role in evaluating opportunities on an independent basis and providing recommendationwith direct oversight by Manager – Investment and Corporate Solutions and Head - Investment & CorporateSolutionsSupport the Manager – Investment and Corporate Solutions in evaluation of Investment Solutions vs. agreedscreening criterion to determine the applicability and relevance of a particular Investment or Corporate Solution tothe ENOC GroupSupport the Manager – Investment and Corporate Solutions in the development of complex financial modellingincluding creating, maintaining and reviewing complex financial models and valuation analyses, including DCF,trading comparables, precedent transactions, LBO analyses, merger models and transaction impact analyses; asapplicable to a particular Investment or Corporate SolutionContinuously provide requisite support to the Manager – Investment and Corporate Solutions during each phaseof the execution process from initiation to closingSupport the Manager – Investment and Corporate Solutions in the production of high quality deliverables such asDescriptive Memorandums, Management Presentations, Board materials and other presentation materials for usein Investment Solutions and other situationsAssist the deal team throughout the due diligence process (specifically, the diligence work streams includetechnical, commercial, environmental, legal etc. with business segments leading their diligence work streams)Assist in the coordination of activities of the internal working group, management of external consultants andadvisorsSupport the Investment and Corporate Solutions Manager in development of the Inorganic Strategy & ControlsmaintenanceMaintain know how of industry updates and track sector specific updates and target companies operating in theregions and product segments of interest to ENOCMaintain database of evaluation and origination effortsSupport the Manager - Investment and Corporate Solutions in periodic reviews and updates to ENOC’s overallinorganic strategy, and apprise business leadership, Executive Management and BoardSupport the Manager - Investment and Corporate Solutions in establishing direct investment criteria and rationalefor Investments & Corporate SolutionsSupport the Manager - Investment and Corporate Solutions in continuous monitoring of inorganic market eventsand trends and advise on updates to ENOC’s inorganic growth strategy & associated investment criteriaManage the continuous maintenance and updates to relevant registers (M&A register, Insider Register, NDARegister, Invoice Register, Synergy Register, Transfer of Ownership Checklist, Risk Register, Cost Register) asapplicable and relevant to a particular Investment or Corporate SolutionImplementation of Internal Work ProcessesSupport the Manager – Investment and Corporate Solutions in the implementation of standardized work flows tothe evaluation & execution process with a view to bringing forth efficiency and quality in work output.preparing Instruction Manuals and guides and adhering to I&CS Department Policies & ProceduresPrepare instruction manuals and guides for easy reference by team and to ensure clarity on every step of theCorporate Solution evaluation & execution processTo the extent available, perform preliminary diligence on parties with whom we transact to reduce reputational riskAdhere to I&CS departmental procedures and implement instructions and controls covering specific areas ofactivity so that all relevant procedural/legislative requirements are fulfilledAdditional Principal AccountabilitiesCyber Information Security ResponsibilitiesComply with all applicable information security policies, standards, and procedures.Classify and protect information assets in accordance with the Data Classification Standard.Participate in mandatory information security awareness and training programs.Support information security initiatives and activities within the organization.Consider information security requirements when managing changes involving information assets.Report security incidents, vulnerabilities, weaknesses, or non-compliance in accordance with establishedprocedures.Fulfil role-specific information security responsibilities and contribute to maintaining the effectiveness of theInformation Security Management System (ISMS).ExperienceBachelors' Degree in a relevant discipline. An MBA Degree level of education from a leading University is highlydesirable.3-5 years of experience (Ideally in a role supporting execution of M&A transactions. Experience with completingtransactions in Middle East, North Africa, Africa and Central Asia is preferred. Oil & Gas transactional experience isa plus)Demonstrated experience gained through an M&A department or a corporate finance function at an O&Gcompany, an investment bank, a private equity house or sovereign-wealth fundProven teamwork skills and ability to leverage teams and networksEnglish speaking essential, Additional language skills are a plusExceptional quantitative skills required to build financial models, perform valuation analyses, merger modellingand other corporate finance analysisExcellent communication skills. Able to concisely present orally and in presentationsFamiliarity with the use of Power Point, Excel, Word and general Microsoft Office Suite along with FactSet,Bloomberg, CapitalIQ and use of other standard M&A industry databases
