Apply & track with Apply EdgeJob Summary:The CEO Office Manager & Board Secretary is responsible for managing the CEO Office while providing professional governance and secretarial support to the Board of Directors, Board Committees, General Assembly Meetings, and other governance forums.The role serves as a key coordination point between the CEO, Board of Directors, shareholders, senior management, subsidiaries, and external advisers, ensuring effective communication, proper governance documentation, confidentiality, and timely execution of Board and executive matters.The position requires strong knowledge and practical experience in Saudi corporate governance and Capital Market Authority (CMA) regulations and requirements, with the ability to support the Group in maintaining appropriate governance practices and regulatory readiness.Duties/Responsibilities:
- Manage the day-to-day activities and priorities of the CEO Office, including the CEO’s schedule, meetings, appointments, correspondence, and executive-level communications.
- Coordinate meetings and communication between the CEO and Board members, shareholders, executive management, subsidiaries, government entities, external advisers, and other key stakeholders.
- Prepare and coordinate executive reports, presentations, briefing materials, correspondence, and other documents required by the CEO.
- Maintain strict confidentiality when handling sensitive corporate, financial, strategic, Board, and shareholder information.
- Coordinate and administer meetings of the Board of Directors, Board Committees, General Assembly Meetings, and relevant Sub-committees.
- Prepare and distribute meeting calendars, agendas, Board packs, presentations, resolutions, supporting documents, and other meeting materials within required timelines.
- Prepare accurate minutes documenting Board and Committee discussions, decisions, voting results, reservations, and action items, and coordinate their review, approval, and signature.
- Maintain organized and confidential Board and Committee records, including attendance records, minutes, resolutions, action trackers, reports, correspondence, disclosure records, and governance registers.
- Coordinate communication and information flow between the Board, Board Committees, CEO, Executive Management, and relevant internal and external stakeholders.
- Maintain up-to-date knowledge of Saudi Capital Market Authority (CMA) regulations and other applicable corporate governance requirements, and communicate relevant regulatory developments to concerned stakeholders.
- Support the Board and CEO in implementing corporate governance practices in accordance with applicable CMA regulations, the Companies Law, the Company’s Articles of Association, and internal governance policies.
- Coordinate with Legal, Compliance, Finance, Internal Audit, Investor Relations, and other relevant functions on governance, shareholder, disclosure, and regulatory matters.
- Support the Company’s readiness for current or future CMA requirements, including the preparation and maintenance of governance documents, Board reports, policies, charters, resolutions, regulatory submissions, and shareholder information.
- Ensure Board and governance records and documentation are properly maintained, controlled, archived, and accessible only to authorized individuals in accordance with applicable regulatory and internal requirements.
- Liaise with external legal advisers, auditors, consultants, regulators, and other professional advisers, and perform special projects or other executive office, governance, and Board-related responsibilities assigned by the CEO or Board of Directors.

- Bachelor’s degree in Business Administration, Law, Finance, Accounting, Corporate Governance, or a related discipline.
- Minimum 8 years of relevant experience in executive office management, Board Secretariat, corporate governance, or similar roles.
- Demonstrated experience supporting Boards of Directors and/or Board Committees, including preparation of agendas, Board packs, minutes, resolutions, and follow-up of Board decisions.
- Practical experience and strong working knowledge of Saudi Capital Market Authority (CMA) regulations and corporate governance requirements is mandatory.
- Professional certification in Board Secretariat, Corporate Governance, or a related field.
