Operating across multiple campuses, the hospital delivers a comprehensive range of acute, ambulatory, and specialized programs, including regional services in complex trauma, cardiac care, renal dialysis, stroke and neurosurgery, intensive care, cancer care, mental health, maternal and child health, and pediatric services. The hospital plays a central role in supporting both primary and highly specialized care for a growing and diverse community of approximately 400,000 residents.The Opportunity:The Chief Legal Officer (CLO) serves as the joint senior legal executive for Windsor Regional Hospital and Erie Shores HealthCare and is a strategic advisor to the President & CEO, Board of Directors, Executive Leadership Team, and Physician Leadership Team. The CLO provides enterprise-wide leadership and legal counsel on matters affecting the organization, including healthcare law, governance, regulatory compliance, patient care, risk management, privacy, litigation, insurance, strategic partnerships, procurement, construction projects, and academic affiliations.As a trusted executive partner, the CLO proactively identifies legal and regulatory risks while enabling innovative solutions that support the hospital’s strategic objectives, patient-centered care, and commitment to excellence. The CLO also oversees legal services, external legal counsel relationships, and legal aspects of major capital redevelopment projects and regional healthcare partnerships.Position Availability:This the President & CEO, Board of Directors, and senior leadership.Support organizational decision-making by identifying legal, regulatory, governance, reputational, and operational risks.Lead the development and implementation of legal strategies that support organizational priorities, healthcare transformation, and regional integration initiatives.Provide legal guidance related to Ontario health system restructuring, regional partnerships, integrated care delivery, and strategic alliances.Foster a culture of ethical decision-making, compliance, accountability, and risk awareness throughout the organization.Governance and Board AffairsAct as principal legal advisor to the Board of Directors and Board Committees.Provide guidance regarding governance best practices, fiduciary duties, by-laws, board policies, and regulatory obligations.Support the Corporate Secretary function, including governance processes, resolutions, board education, and regulatory filings.Ensure compliance with applicable legislation, including the Public Hospitals Act, Broader Public Sector Accountability Act, Excellent Care for All Act, Personal Health Information Protection Act (PHIPA), Not-for-Profit Corporations Act, and other relevant statutes.Healthcare, Clinical and Risk Management LawProvide legal advice on patient care, patient safety, quality of care, critical incidents, consent and capacity matters, and complex clinical issues.Partner with clinical leadership, Risk Management, Patient Relations, Professional Practice, Ethics, and Quality teams to mitigate organizational risk.Oversee legal aspects of patient complaints, serious safety events, coroner investigations, regulatory investigations, and professional practice matters.Advise on physician-related issues, credentialing matters, medical staff by-laws, hospital privileges, and interactions with the Canadian Medical Protective Association (CMPA).Coordinate and oversee legal proceedings involving the Consent and Capacity Board, Human Rights Tribunal of Ontario, courts, arbitrations, and administrative tribunals.Privacy, Compliance and Regulatory AffairsProvide oversight and strategic direction regarding privacy compliance and information governance.Advise on privacy breaches, investigations, disclosures, information-sharing agreements, and proceedings involving the Information and Privacy Commissioner of Ontario.Lead legal compliance programs related to healthcare regulations, accreditation requirements, procurement, public sector accountability, and emerging legislation.Monitor changes in legislation, healthcare policy, and regulatory requirements and advise leadership regarding organizational impacts.Litigation and Dispute ResolutionManage the organization’s litigation portfolio and oversee the work of external legal counsel.Direct legal strategy regarding claims, disputes, investigations, administrative proceedings, and alternative dispute resolution processes.Oversee legal responses to subpoenas, search warrants, court orders, inquests, and regulatory reviews.Provide practical and cost-effective solutions to minimize legal exposure and organizational risk.Contracts and Business TransactionsLead review, drafting, negotiation, and management of complex agreements and commercial arrangements.Advise on physician agreements, research agreements, academic affiliations, technology partnerships, procurement contracts, construction contracts, and shared service arrangements.Support major capital expansion, redevelopment, and infrastructure projects through legal risk assessment and contract oversight.Ensure legal frameworks are in place to support innovation, digital health initiatives, and strategic organizational partnerships.External RelationsRepresent the organization in interactions with government agencies, healthcare associations, regulatory bodies, academic institutions, and external partners.Build collaborative relationships with peer hospitals, Ontario Health, universities, healthcare organizations, and sector stakeholders.Support public interest initiatives and strategic advocacy efforts aligned with the hospital’s mission and priorities.The Ideal Candidate:Juris Doctor (J.D.) or Bachelor of Laws (LL.B.).Member in good standing with the Law Society of Ontario.Corporate Governance designation, Certified In-House Counsel certification, or other relevant executive credentials are considered assets.10 – 15+ years of progressive legal experience, with significant experience in healthcare law, hospital law, public sector law, regulatory law, governance, litigation, insurance or risk management.Demonstrated leadership experience in a senior legal, executive, or in-house counsel role.Experience advising Boards of Directors, executive leaders, physicians, and healthcare organizations.Experience managing external counsel, litigation portfolios, and complex organizational transactions.Experience within an academic health sciences centre, large hospital system, public sector organization, or highly regulated environment is preferred.Comprehensive knowledge of healthcare legislation, governance frameworks, privacy legislation, and public sector accountability requirements.Exceptional strategic thinking, legal judgment, and problem-solving capabilities.Strong leadership, influencing, and relationship management skills.Excellent communication, negotiation, advocacy, and presentation abilities.Ability to navigate highly sensitive, confidential, and politically complex matters.Strong understanding of enterprise risk management and organizational governance.Demonstrated ability to lead through change and support large-scale
