إعلان وظيفينبحث عن محامٍ/مستشار قانوني يمتلك عمقاً حقيقياً في أحكام نظام الشركات السعودي والعقود التجارية، للانضمام إلى فريق يقدّم استشارات لعملاء من شركات قابضة وصناعية ومقاولات وكيانات أجنبية مرخصة في السوق السعودي.الدور يجمع بين الجانب الاستشاري والجانب الترافعي: صياغة العقود وهيكلة الصفقات من جهة، وإعداد المذكرات المقدمة أمام الجهات القضائية وشبه القضائية من جهة أخرى. من ينضم إلينا يتعامل مع ملفات الاستحواذ والاندماج والتخارج، وإجراءات التأسيس للكيانات السعودية والأجنبية والمختلطة، وقضايا التصفية والإفلاس.المسؤولياتتقديم الاستشارات القانونية المكتوبة والشفهية للعملاء في المسائل المتعلقة بنظام الشركات السعودي والأنظمة التجارية ذات الصلة.صياغة ومراجعة العقود التجارية بأنواعها — عقود التأسيس، الشراكة، التوريد، التوزيع، الوكالات التجارية، الخدمات، ونقل الملكية — بما يحمي مركز العميل ويقلّل احتمالات النزاع.إعداد المذكرات القانونية ولوائح الدعوى والردود والمرافعات، وتقديمها أمام المحاكم واللجان شبه القضائية.دراسة صفقات الاستحواذ والاندماج والتخارج، والمشاركة في أعمال الفحص النافي للجهالة (Due Diligence)، وإعداد التقارير القانونية المصاحبة لها.التعامل مع إجراءات التصفية والإفلاس وفق نظام الإفلاس ولائحته التنفيذية، ومتابعتها أمام الجهات المختصة.تنفيذ إجراءات تأسيس الشركات السعودية والأجنبية والمختلطة وتعديل عقود التأسيس، والتعامل مع الجهات ذات العلاقة (وزارة التجارة، وزارة الاستثمار، المركز السعودي للأعمال).إعداد وتحديث أنظمة الحوكمة واللوائح الداخلية وقرارات الجمعيات ومجالس الإدارة للعملاء من الشركات.متابعة التحديثات النظامية والتشريعية ذات الأثر على أعمال العملاء، وإصدار تنبيهات ومذكرات موجزة بشأنها.التنسيق مع فريق العمل وتوثيق سير الملفات وتحديث حالتها أولاً بأول ضمن أنظمة المكتب.المؤهلاتالمؤهلات الأساسيةدرجة البكالوريوس في الشريعة أو الأنظمة أو القانون من جامعة معترف بها.يفضل خبرة عملية تتجاوز ٤ سنوات في المحاماة أو الاستشارات القانونية، ويُفضَّل أن تكون داخل مكتب محاماة أو إدارة قانونية لشركة.إلمام عملي مثبت بنظام الشركات السعودي والعقود التجارية.معرفة بأحكام الاستحواذ والاندماج والتخارج، وأحكام التصفية والإفلاس.إلمام بإجراءات تأسيس الشركات السعودية والأجنبية والمختلطة والجهات المنظمة لها.قدرة مثبتة على صياغة العقود والمذكرات القانونية بلغة عربية دقيقة وسليمة.إجادة التحدث والكتابة باللغة الإنجليزية بمستوى يسمح بالتفاوض مع العملاء ومراجعة العقود الإنجليزية.مهارات تواصل وعرض فعّالة، وقدرة على شرح المسائل القانونية المعقّدة لغير المختصين بوضوح.مؤهلات مفضّلةترخيص مزاولة مهنة المحاماة من وزارة العدل (يُفضَّل ولا يُشترط).يفضل درجة الماجستير في القانون أو القضاء التجاري أو ما يعادلها.شهادات مهنية في التحكيم التجاري أو الحوكمة أو الامتثال.خبرة سابقة في التعامل مع عملاء من الشركات الأجنبية أو الكيانات متعددة الجنسيات.إتقان استخدام أنظمة إدارة الملفات القانونية وأدوات العمل الرقمية.فرصة العمل تتيح لك العمل على:ملفات نوعية مع عملاء من قطاعات متعددة، وليس عملاً روتينياً متكرراً.عمل مباشر مع الإدارة التنفيذية وفرصة حقيقية للتعلّم من ملفات معقّدة.Job Posting — Lawyer / Legal CounselLawyer / Legal Counsel — Corporate Law & Commercial ContractsAbout the roleWe are looking for a lawyer/legal counsel with genuine depth in the Saudi Companies Law and commercial contracts, to join a team advising holding companies, industrial groups, contracting firms, and foreign entities licensed in the Saudi market.The role combines advisory and litigation work: drafting contracts and structuring transactions on one side, and preparing the memoranda submitted before judicial and quasi-judicial bodies on the other. Whoever joins us will handle acquisition, merger and exit files, incorporation procedures for Saudi, foreign and mixed entities, and liquidation and bankruptcy matters.ResponsibilitiesProvide written and oral legal advice to clients on matters relating to the Saudi Companies Law and related commercial regulations.Draft and review commercial contracts of all types — incorporation, partnership, supply, distribution, commercial agency, services, and transfer of ownership — in a way that protects the client's position and reduces the likelihood of dispute.Prepare legal memoranda, statements of claim, responses and pleadings, and file them before the courts and quasi-judicial committees.Examine acquisition, merger and exit transactions, participate in legal due diligence, and prepare the accompanying legal reports.Handle liquidation and bankruptcy procedures under the Bankruptcy Law and its implementing regulations, and follow them before the competent authorities.Carry out incorporation procedures for Saudi, foreign and mixed entities and amendments to articles of association, and deal with the relevant authorities (Ministry of Commerce, Ministry of Investment, Saudi Business Center).Prepare and update governance frameworks, internal bylaws, and general assembly and board resolutions for corporate clients.Track regulatory and legislative developments affecting clients' businesses, and issue alerts and concise briefing notes on them.Coordinate with the team and document file progress, keeping status current within the firm's systems.QualificationsEssential qualificationsBachelor's degree in Sharia, Legal Studies, or Law from a recognized university.Preferably more than 4 years of practical experience in legal practice or legal consultancy, preferably within a law firm or a company's in-house legal department.Demonstrated working knowledge of the Saudi Companies Law and commercial contracts.Knowledge of the provisions governing acquisitions, mergers and exits, and of liquidation and bankruptcy provisions.Familiarity with incorporation procedures for Saudi, foreign and mixed entities and the authorities regulating them.Proven ability to draft contracts and legal memoranda in precise and correct Arabic.Command of spoken and written English at a level that allows negotiating with clients and reviewing English-language contracts.Effective communication and presentation skills, with the ability to explain complex legal matters clearly to non-specialists.Preferred qualificationsA license to practice law from the Ministry of Justice (preferred, not required).Preferably a master's degree in Law or Commercial Judiciary or its equivalent.Professional certifications in commercial arbitration, governance, or compliance.Prior experience working with foreign corporate clients or multinational entities.Proficiency in using legal file management systems and digital work tools.This opportunity gives you the chance to work on:Substantive files with clients across multiple sectors — not repetitive routine work.Direct work with executive management and a real opportunity to learn from complex files.
