The role involves organizing and recording board and committee meetings, preparing agendas, minutes, and resolutions, and ensuring timely circulation of meeting documents. The Company Secretary maintains statutory registers and corporate records, oversees regulatory filings and compliance with applicable laws and governance requirements, and supports the preparation and review of corporate policies and procedures. Daily responsibilities also include coordinating communication between the board, executive management, shareholders, and external stakeholders, supporting corporate transactions and documentation, and providing guidance on governance best practices. The role requires close collaboration with legal, finance, and senior leadership to ensure accurate, compliant, and efficient corporate administration.Qualifications Strong corporate governance knowledge and familiarity with company law, regulatory frameworks, and compliance requirements relevant to Saudi Arabia.Proficiency in preparing agendas, minutes, resolutions, and maintaining statutory registers and corporate records.Excellent written and verbal communication skills in English; Arabic proficiency is highly beneficial.Advanced organizational and time-management skills, with attention to detail and the ability to manage multiple deadlines.High level of integrity, discretion, and professionalism in handling confidential information.Ability to collaborate effectively with board members, senior management, and cross-functional teams.Comfort with office productivity tools (e.g., MS Office, document management systems) and basic digital collaboration platforms.Bachelor’s degree in Law, Business, Finance, or a related field; a professional qualification in corporate governance or company secretarial practice is an advantage.Previous experience in a Company Secretary or similar corporate governance role, preferably within healthcare, pharmaceuticals, or a regulated industry.
