Position OverviewWe are seeking a seasoned and detail-oriented Company Secretary to serve as the governance bridge between the Board of Directors, executive management, and key internal and external stakeholders. Beyond regulatory oversight, the Company Secretary will play a vital strategic role in enabling the Board’s governance duties by orchestrating seamless administrative processes, facilitating high-level decision-making, and maintaining pristine corporate records.The ideal candidate will combine rigorous legal or corporate governance acumen with exceptional discretion, administrative precision, and cross-functional leadership. The role will work closely with the executive leadership team to ensure that board policies are effectively translated into actionable corporate practices, safeguarding the organization's institutional integrity and reputation in line with Saudi regulatory standards.Primary Duties and ResponsibilitiesBoard Administration & Meetings: Manage meeting schedules, prepare agendas and working papers, and draft comprehensive, compliant meeting minutes.Records & Information Management: Archive Board reports, maintain secure and accurate governance registers, and ensure members have timely access to necessary documents.Governance & Compliance: Assist directors with compliance frameworks (including Saudi corporate governance regulations), administer the disclosure register for the Board and executive management, and track governance documentation.Resolutions & Follow-Up: Monitor the implementation of Board decisions, coordinate action items with management, and report periodically on progress.Stakeholder Coordination and Corporate Support: Act as a primary liaison between the Chairman, directors, auditors, advisors, and management while upholding strict confidentiality.Additional Scope: Handle any additional legal and governance duties assigned by senior management within the scope of the function and applicable regional laws.Qualifications and CompetenciesEducation: Bachelor’s degree in Law, Corporate Governance, Business Administration, or a related field.Experience: Minimum of 5 years of proven experience as a Company Secretary or in a senior corporate governance role, preferably within a regulated corporate environment (regional experience within the Kingdom of Saudi Arabia is a strong asset).Knowledge & Expert Skills: Expert knowledge of corporate law, local governance frameworks, and board administration procedures. Exceptional writing, documentation, and bilingual communication skills.Language Proficiency: Full professional proficiency in English is required. Bilingual proficiency (written and spoken Arabic and English) is highly advantageous.Attributes: Unwavering integrity, meticulous attention to detail, and a high degree of discretion in handling sensitive executive information.
