They are seeking a Company Secretary to oversee entity governance and support investment activities across multiple strategies.Joining this small, high-calibre team means working closely with experienced professionals across Europe and the US in a dynamic, high-growth environment that values ownership, initiative, and professional development. The role offers hands-on exposure to board and committee activities, regulatory compliance, and transaction support, along with cross-border collaboration opportunities and a competitive compensation package.Your ResponsibilitiesCoordinate, organise, and document Board and committee meetings end-to-end, including drafting minutes, preparing resolutions, and ensuring action follow-up.Manage the full lifecycle of Luxembourg entities, from incorporations and dissolutions to AGMs, EGMs, and ad hoc secretarial tasks such as share capital changes.Maintain accurate corporate records and databases, ensuring timely updates and alignment with internal and external stakeholders.Support deal execution by assisting with KYC/AML reviews, transaction documentation, and understanding of investment structures.Monitor portfolio company compliance, including statutory filings, annual accounts, audit coordination, and vendor oversight.Oversee accounts payable, bank transactions, and day-to-day cash management, ensuring accurate and timely documentation.Contribute to process improvements, internal controls, and the development of tracking tools and reporting systems.Ensure all corporate documents meet execution standards and are delivered with accuracy, consistency, and a strong sense of urgency.Your ProfileMinimum 5 years' experience in Luxembourg corporate secretarial or governance roles, ideally within an asset manager, investment firm, or service provider.Solid knowledge of Luxembourg company law and fund regulations; an ICSA qualification (or ongoing pursuit) is considered an asset.Fluent in English; proficiency in French or German is an advantage.Highly organised, adaptable, and capable of managing priorities in a fast-paced environment.Strong communicator with a proactive mindset, attention to detail, and a collaborative approach.Demonstrates initiative, accountability, and a hands-on attitude.This position is full-time and office-based in Luxembourg, within a close-knit environment that values daily interaction and teamwork.If this opportunity resonates with you, we’d love to hear from you.Please note that a valid Luxembourg work permit is required for consideration.All applications are handled with the utmost confidentiality.
