Job Overview:We are seeking an experienced and visionary Compliance Director to lead our regulatory affairs, corporate governance, and risk management strategies in Hong Kong. In this executive leadership role, you will oversee the compliance framework for our global payment operations and cutting-edge Web3 ecosystem (including digital assets, VASP, and decentralized finance frameworks). You will serve as the primary liaison with key regulatory bodies, drive strategic licensing initiatives, manage high-stakes M&A compliance, and build a robust, forward-looking compliance culture to support our global expansion.Key Responsibilities1.Strategic Regulatory Leadership & Policy FormulationDirect and oversee regulatory compliance strategies across traditional payments (e.g., MSO, OTC and Card Issuance) and Web3/digital asset frameworks (e.g., VASP, stablecoin regimes). Lead proactive engagements, formal reporting, and strategic communications with key regulatory authorities, including the HKMA, SFC, and JFIU.Anticipate local and international regulatory shifts (Web3, AML/CTF, cross-border payments) and translate complex requirements into actionable corporate strategy.2. Enterprise Governance & M&A OversightSupervise global corporate governance structures, ensuring rigorous compliance manuals, internal controls, and constitutional documentation. Lead compliance due diligence (DD) for complex M&A, strategic partnerships, Web3 protocol integration, and institutional banking relationships.Partner with C-suite executives and legal teams to structure cross-border transactions and manage risk across corporate restructurings.3.AML/CFT Framework & Financial Crime ComplianceOversee the end-to-end AML/CFT and Sanctions program, providing strategic guidance to the MLRO and compliance teams.Ensure seamless, high-grade reporting to regulatory bodies (e.g., JFIU) and audit committees.Implement advanced, tech-enabled transaction monitoring and risk detection systems suitable for high-volume payments and Web3 on-chain/off-chain transactions.4.Legal Advisory & Risk ManagementServe as the primary internal legal counsel on regulatory, corporate, commercial, and operational matters.Manage legal risks arising from product launches, cross-border operations, data privacy, cybersecurity, intellectual property, and consumer protection issues.Oversee external counsel engagement, litigation strategy, regulatory investigations, and dispute resolution.Ensure the company’s policies, procedures, and product terms are legally sound and aligned with evolving Hong Kong and international legal standards.5. Team Leadership & Stakeholder ManagementBuild, mentor, and lead a high-performing compliance team, fostering a culture of integrity, accountability, and continuous learning. Serve as the trusted compliance advisor to the Board of Directors, executive management, and external institutional partners.Key Requirements1. Experience: 5+ years of progressive compliance and legal experience in financial services, FinTech, major payment institutions, or Web3/crypto ecosystems, with at least 2 years in a senior management capacity. Prior experience as in-house counsel or dual Compliance/Legal role is highly preferred.2. Domain Expertise: Deep knowledge of HKMA and SFC regulatory frameworks, licensing processes (MSO, SVF, VASP), global AML/CFT standards, Web3/blockchain compliance practices, and Hong Kong corporate, commercial, and financial services law.3. Track Record: Proven ability to build compliance functions from the ground up and maintain direct, productive relationships with regulators (HKMA, SFC, JFIU).4. Education & Credentials: Bachelor’s degree in Law, Finance, or a related field (Master's degree, JD, or professional certifications such as CAMS/ICA preferred).5. Language Skills: Professional fluency in English and Cantonese/Mandarin is required for top-level regulatory and stakeholder communications.6. Leadership Attributes: Strategic vision, executive presence, and the agility to navigate rapidly evolving regulatory landscapes in both traditional finance and Web3.7. Soft skills: Strong ability to work across time zones, handle pressure, adapt to a fast-paced, high-standard working environment. Strong sense of responsibility and efficient execution, and demonstrate a strong willingness to respond promptly to work requirements.
