Apply & track with Apply EdgeThe role will advise business and corporate functions on commercial, corporate, regulatory, privacy, data protection, and contractual matters. The Legal Counsel will work closely with stakeholders across Brazil, Latin America, and other global jurisdictions to identify and manage legal risks, protect Coforge’s interests, and enable the business to achieve its commercial objectives. The ideal candidate is a pragmatic, collaborative, and solutions-oriented lawyer with strong commercial judgment and the ability to operate independently in a fast-paced, multinational technology environment.Key ResponsibilitiesCommercial & ContractualDraft, review, negotiate, and advise on commercial agreements and other legal documents supporting local and global business activities.Provide practical legal guidance to Sales, Procurement, Finance, HR, Delivery, and other internal stakeholders.Identify contractual risks and recommend appropriate mitigation strategies while supporting business objectives.Manage the contract lifecycle, including amendments, addenda, extensions, renewals, approvals, execution, and recordkeeping.Support the business in interpreting contractual obligations and resolving contractual issues.Corporate & RegulatoryProvide legal support on corporate and governance matters related to Coforge’s operations in Brazil.Coordinate the preparation, execution, and filing of corporate documents with relevant governmental and public authorities.Monitor and assess Brazilian legal and regulatory requirements applicable to the company’s operations.Assess legal and regulatory obligations and communicate relevant requirements to internal stakeholders.Identify, assess, and help mitigate legal and regulatory risks.Privacy, Data Protection & ComplianceSupport compliance with Brazil's General Data Protection Law (LGPD) and other applicable privacy regulations.Review and advise on data protection provisions in customer, vendor, and internal agreements.Provide legal guidance on privacy, data protection, and related compliance matters impacting the business.Support the management of privacy incidents, regulatory inquiries, and legal risks associated with personal data processing.Business Partnership & Stakeholder ManagementAct as a trusted legal partner to the business, providing clear, practical, and commercially focused advice.Facilitate alignment among Legal, Sales, Procurement, Finance, HR, Operations, and other functions regarding legal requirements and internal processes.Help stakeholders navigate legal workflows, approval requirements, and risk considerations.Collaborate with global Legal teams to align local Brazilian requirements with Coforge’s global legal and business processes.External Counsel ManagementCoordinate and oversee external legal counsel.Determine when matters require specialized external legal support and ensure effective coordination with internal stakeholders.Required Skills & QualificationsLaw degree and admission to the Brazilian Bar Association (OAB).Relevant experience as an in-house counsel or in a law firm advising corporate clients.Strong experience drafting, reviewing, and negotiating commercial contracts.Experience supporting corporate and operational legal matters in Brazil.Experience working with multinational companies and/or cross-border transactions.Strong knowledge of Brazilian corporate and commercial law and applicable regulatory requirements.Strong knowledge of Brazil's General Data Protection Law (LGPD) and applicable privacy and data protection requirements.Experience advising organizations on privacy, data protection, and related compliance matters.Experience working directly with senior business stakeholders and cross-functional teams.Experience managing external legal counsel.Excellent written and verbal communication skills in Portuguese and English.Preferred Skills:Experience in the technology, IT services, consulting, outsourcing, or digital services industry.Experience supporting global sales or commercial organizations.Exposure to legal matters involving multiple jurisdictions.At Coforge, we hire professionals based solely on their skills and do not discriminate based on age, disability, religion, gender, sexual orientation, socioeconomic status, or nationality.
