This position offers the opportunity to work closely with business owners, executives, and privately held companies on a wide variety of sophisticated transactional and advisory matters.The ideal candidate enjoys serving as a trusted legal advisor, has strong drafting and negotiation skills, and is comfortable managing multiple matters independently while collaborating with experienced attorneys.

Responsibilities

Draft, review, and negotiate a broad range of business and commercial agreementsCounsel clients on general corporate and business law mattersStructure and negotiate stock and asset purchase transactionsPrepare shareholder agreements, operating agreements, and corporate governance documentsDraft and negotiate commercial service, supplier, and vendor agreementsAdvise clients on corporate governance and regulatory complianceDraft employment agreements and employment-related policiesPartner directly with business owners and executives to provide practical legal adviceConduct legal research and provide strategic recommendationsManage multiple client matters while meeting deadlines

Qualifications
