The legal team works closely with business and technical stakeholders on strategic technology transactions and commercial relationships.Responsibilities:Draft, review, and negotiate technology and commercial agreements, including software and technology licenses, SaaS agreements, strategic partnerships, NDAs, supply agreements, distribution/reseller agreements, and professional services agreementsAdvise business teams on technology transactions, intellectual property rights, licensing structures, confidentiality, risk allocation, and other deal termsLead or support negotiations of complex and high-value transactions from initial deal structure through executionPartner with business development, sales, finance, operations, and technical teams to facilitate transactions and provide practical, business-oriented legal guidanceDevelop and maintain contract templates, playbooks, and best practicesSupport strategic corporate initiatives, including M&A and other special transactions as neededMust-Have Skills:Juris Doctor (JD) from an accredited law school and active bar membership.4‑12 years of experience in corporate/commercial contract law in the tech industryActive Notary Public commission in California (or willingness to obtain).Proven expertise in drafting and negotiating commercial agreements, including NDAs, MSAs, licensing, SaaS, and vendor contracts.Strong analytical, communication, and risk‑assessment skills.Ability to manage multiple contracts and competing deadlines independently.Nice-to-Have Skills:Background in BigLawExperience with semiconductors.Familiarity with corporate governance, SEC filings, and M&A support.
