Corporate Lawyer

We are seeking an experienced Corporate Lawyer with strong UAE legal and regulatory experience to support corporate transactions, legal due diligence, corporate structuring, and ongoing legal advisory matters. The ideal candidate will have hands-on experience advising clients on UAE corporate laws, conducting legal due diligence for M&A and investment transactions, drafting commercial agreements, and supporting business setup and restructuring projects across the UAE.Key ResponsibilitiesConduct comprehensive legal due diligence for mergers, acquisitions, investments, joint ventures, and corporate restructuring transactionsReview corporate documents, constitutional documents, commercial contracts, licenses, permits, employment agreements, and regulatory filingsPrepare detailed due diligence reports highlighting legal risks, liabilities, and mitigation recommendationsAdvise clients on UAE corporate and commercial laws, including mainland and free zone regulationsSupport company incorporations, corporate restructuring, liquidation, and governance matters across various UAE jurisdictionsDraft, review, and negotiate legal documentAssist with transaction execution, closing documentation, and post-transaction integration mattersAdvise on regulatory compliance requirements and corporate governance obligationsLiaise with regulatory authorities, free zone authorities, clients, and external legal counselConduct legal research and provide practical legal solutions to internal and external stakeholders
