We are looking for a hands-on, commercially oriented Corporate Legal Associate with 3–5 years of post-qualification experience and strong exposure to M&A, equity transactions, investments and JVs.The role offers end-to-end exposure to equity deals, spanning structuring, due diligence, documentation, negotiation and closure across Collective’s dynamic ecosystem of talent, content, brands and entertainment.Key Responsibilities –Drive corporate transactions end-to-end, from structuring, due diligence and documentation through negotiation, execution and closure.Draft, review and negotiate SPAs, SSAs, SHAs, JV Agreements, term sheets, NDAs and other M&A/investment documentation.Drive equity investments, acquisitions, M&A, JVs and strategic partnerships including overseeing equity deals where external vendors are involvedPartner with business leaders, founders, finance teams and external counsel to translate commercial objectives into effective legal structures.Lead/coordinate legal due diligence, identify risks and recommend practical mitigations.Advise on Companies Act, FEMA, SEBI and other applicable regulatory requirements.Drive stakeholder coordination, transaction timelines and post-closing compliances.Oversee regulatory compliance and secretarial work for the groupStrengthen legal processes, templates and risk-management frameworks while maintaining high standards of confidentiality, integrity and discretion.Broad KRA – End-to-End Deal Execution: Drive transactions from structuring to closure.Transaction Excellence: Strong drafting, negotiation, diligence and risk assessment.Commercial Acumen: Translate business objectives into practical legal solutions. M&A & Equity Expertise: Strong exposure to investments, M&A and JV structures.Stakeholder Management: Build trusted relationships across business and external counsel.Ownership & Timely Closure: Manage multiple priorities and drive outcomes.Risk & Compliance: Identify and mitigate legal and regulatory risks. Strong understanding of SHA, SPA, SSA, JV and term sheets.Brings strong corporate law fundamentals, commercial acumen and problem-solving ability.Is mature, level-headed, curious and quick to learn, with the ability to thrive in ambiguity and fast-paced environments.Is a people person with strong interpersonal skills and the ability to build trusted relationships with leadership, business teams and external counsel.
