Job SummaryThe Legal Counsel will play a key role in providing legal guidance and support across various business functions, ensuring compliance with regulatory requirements, and mitigating legal risks. This position will oversee legal operations, contracts, corporate governance, and regulatory affairs while providing strategic counsel to senior management.Key ResponsibilitiesLegal Advisory & ComplianceProvide expert legal advice on corporate, real estate, labor, and commercial law mattersEnsure compliance with all relevant local and international laws, regulations, and corporate policiesMonitor changes in legislation and advise management on potential impactsContract Management & NegotiationsDraft, review, and negotiate contracts, agreements, and legal documents to protect company interestsEnsure that contractual terms align with business objectives and mitigate risksCollaborate with various departments to ensure smooth contract execution and enforcementCorporate Governance & Regulatory AffairsSupport corporate governance initiatives, including board resolutions and regulatory filingsLiaise with government agencies, external counsel, and regulators to ensure legal complianceMaintain corporate records and ensure adherence to company policies and ethical standardsLitigation & Risk ManagementManage legal disputes, litigation, and alternative dispute resolution proceedingsDevelop strategies for risk mitigation and oversee legal risk assessmentsRepresent the company in negotiations, settlements, and legal proceedings as necessaryQualifications & ExperienceBachelor of Laws (LL.B) or Juris Doctor (J.D.) degree. Must be a licensed lawyer in the Philippines.Minimum of 8-12 years of legal experience, preferably in corporate law, real estate, or a related industry.Strong expertise in contract negotiation, corporate governance, and regulatory complianceExcellent problem-solving, analytical, and negotiation skillsStrong leadership and stakeholder management abilitiesExperience working with government agencies, regulators, and external legal partners
