Corporate Legal Counsel Europe

Location: Baden-Württemberg, GermanyNextpower is looking for an experienced Senior Legal Counsel to support our growing European operations.

The role will act as a key legal partner for Germany and other assigned European matters, working closely with the global Legal team, central functions and specialist external counsel.The position will have a primary focus on complex commercial contracting, corporate governance and the legal integration of businesses within an international organization. We are looking for a commercially minded lawyer who can work independently, navigate complex cross-border matters and provide practical legal advice to senior business stakeholders.The role will be based in Baden-Württemberg, Southern Germany, with regular presence required in the region.Key responsibilitiesLead the drafting, review and negotiation of complex domestic and cross-border supply, procurement, services, framework and other strategic B2B agreements.Advise on contractual risk, including warranties, liability, indemnities, payment security, termination, claims and variations.Support bids, RFPs and strategic customer and supplier negotiations.Provide strategic legal advice to senior management and internal stakeholders on commercial and corporate matters across Germany and Europe.Support corporate governance and entity management, including corporate approvals, board and shareholder matters, powers of attorney and corporate records.Support the legal integration of businesses, including governance frameworks, internal reorganizations and intercompany arrangements.Contribute to European M&A, restructuring and integration projects in coordination with the global Legal team and external counsel.Coordinate employment-law matters, disputes and other specialist legal matters with external counsel where appropriate.Support the implementation of group compliance policies and provide practical assistance on IP and related matters.Experience and qualificationsQualified lawyer with 8+ years of relevant post-qualification experience.Strong experience in commercial contracts and corporate law, gained within an international in-house legal team, reputable law firm or a combination of both.Good knowledge of the German legal and regulatory environment, particularly in relation to commercial and corporate matters.Proven experience independently leading complex contract negotiations and advising senior business stakeholders.Experience with corporate governance, corporate approvals and coordination with external counsel.Experience working across jurisdictions within an international or matrixed organization.Fluent German and English are required. Spanish would be a strong advantage.Strong ownership, communication and stakeholder-management skills.Preferred backgroundGerman legal qualification (Volljurist/Rechtsanwalt) or significant professional experience advising on German legal matters.In-house experience within renewable energy, industrial, engineering, infrastructure, manufacturing or another technology-driven business.Exposure to post-acquisition integration, corporate reorganizations or harmonization of governance and legal processes.Experience supporting cross-border supply chains, complex B2B projects or businesses with significant operational and procurement activity.
