قدّم وتابع مع أبلاي إيدجWe are looking for a Corporate Legal Specialist with 5–6 years of relevant experience to manage and support the organisation’s corporate legal requirements. The role will involve contract management, legal documentation, corporate compliance, risk assessment, and providing practical legal advice to various business functions. The ideal candidate should have strong corporate law fundamentals, excellent drafting and negotiation skills, commercial understanding, and the ability to work independently with multiple stakeholders.Key Responsibilities-1. Corporate & Commercial LegalProvide legal advice to internal stakeholders on day-to-day corporate and commercial matters.Draft, review, negotiate, and finalise various business agreements, including:Master Service AgreementsVendor/Supplier AgreementsNon-Disclosure AgreementsDistribution AgreementsPartnership AgreementsConsultancy AgreementsMarketing/Agency AgreementsE-commerce and marketplace agreementsEmployment and HR-related agreementsLease and other operational agreementsIdentify contractual risks and recommend appropriate commercial and legal safeguards.Ensure agreements are structured to protect the company's commercial and legal interests.2. Contract ManagementManage the complete contract lifecycle from drafting and negotiation to execution, renewal, amendment, and termination.Maintain and update a central repository of contracts and legal documents.Track key contractual obligations, renewal dates, notice periods, liabilities, indemnities, warranties, and other critical terms.Develop standard templates and legal clauses to improve contracting efficiency.3. E-commerce & Consumer Business SupportProvide legal support for UrbanGabru's D2C, e-commerce, marketplace, and quick-commerce operations.Review agreements and commercial arrangements with marketplaces, platforms, distributors, vendors, agencies, and other business partners.Advise business teams on legal considerations relating to online sales, promotions, pricing, offers, returns, refunds, and consumer-facing terms.Review website/app terms and conditions, privacy-related documentation, disclaimers, and other customer-facing legal content.Support compliance with applicable e-commerce and consumer protection regulations.4. Marketing & Advertising LegalReview marketing, advertising, influencer, social media, packaging, product claims, and promotional communication from a legal and compliance perspective.Ensure product and marketing claims are adequately substantiated and compliant with applicable regulations.Advise the marketing team on legal risks relating to comparative advertising, consumer claims, endorsements, promotions, and intellectual property.5. Intellectual PropertySupport management and protection of the company's trademarks, copyrights, designs, and other intellectual property.Coordinate trademark applications, renewals, oppositions, objections, and other IP-related matters with external counsel.Monitor and address potential instances of infringement or unauthorised use of UrbanGabru's intellectual property.Work with relevant teams to ensure appropriate IP protection for new products, brands, content, packaging, and marketing assets.6. Regulatory & Statutory ComplianceMonitor applicable legal and regulatory requirements impacting the company's business.Support compliance with relevant corporate, consumer, e-commerce, advertising, employment, and other applicable laws and regulations.Coordinate with internal stakeholders and external advisors to ensure timely compliance.Identify emerging regulatory changes and communicate their potential impact to relevant business teams.7. Legal Notices, Disputes & LitigationReview and respond to legal notices, claims, and disputes in coordination with internal stakeholders and external legal counsel.Manage and coordinate litigation and dispute-related matters.Maintain records of ongoing legal matters and provide periodic updates to management.Assist in developing appropriate legal strategies to minimise business exposure.8. Corporate GovernanceSupport corporate governance and secretarial requirements in coordination with the Company Secretary and/or external advisors.Assist with preparation and review of board resolutions, corporate documentation, and statutory records, wherever required.Ensure appropriate documentation and legal records are maintained.9. Stakeholder ManagementPartner closely with Finance, HR, Procurement, Marketing, E-commerce, Sales, Operations, and Leadership teams.Translate complex legal issues into practical and commercially viable recommendations.Balance legal risk with business priorities and enable teams to make informed decisions.Manage relationships with external lawyers, consultants, and other legal service providers.Requirements-5–6 years of relevant experience in corporate/commercial legal roles.LLB degree from a recognised university/institution.Experience in an in-house legal team or a reputed corporate/commercial law firm.Strong hands-on experience in contract drafting, review, negotiation, and legal risk assessment.Good understanding of Indian corporate and commercial laws.Exposure to e-commerce, D2C, FMCG, consumer, retail, or technology businesses would be preferred.Strong understanding of commercial agreements and ability to independently handle routine contractual matters.Exposure to IP/trademark, advertising, consumer protection, and regulatory matters is preferred.Strong legal research, analytical, drafting, and negotiation skills.Excellent written and verbal communication skills.Strong stakeholder management and ability to work with cross-functional teams.Ability to work independently in a fast-paced, high-growth environment.Strong commercial orientation and ability to provide practical, business-focused legal advice rather than purely theoretical/legal recommendations.
