Apply & track with Apply EdgeJob Title: Legal Director/ Director of Legal Affairs – Corporate LawReports To: Group CEO / Managing Director / Board of DirectorsCompany Type: Holding Company / Corporate GroupJob PurposeTo lead and oversee the company’s legal function, provide strategic legal advice to management and the Board, protect the group’s legal and commercial interests, and ensure compliance with applicable laws and regulations across the holding company and its subsidiaries.Key ResponsibilitiesLead and manage the Group Legal Department and provide strategic legal direction to the holding company and its subsidiaries.Advise the Board of Directors, CEO, senior management, and subsidiaries on corporate and commercial legal matters.Draft, review, negotiate, and approve commercial agreements, contracts, MOUs, joint venture agreements, shareholder agreements, and other legal documents.Advise on corporate governance, board matters, shareholder rights, resolutions, and corporate structures.Oversee incorporation, restructuring, mergers, acquisitions, disposals, and other corporate transactions.Manage legal due diligence for investments, acquisitions, partnerships, and strategic transactions.Establish and maintain appropriate legal policies, procedures, delegations, and approval frameworks.Ensure the group’s contracts and business activities comply with applicable laws and regulatory requirements.Identify, assess, and mitigate legal and contractual risks affecting the group.Oversee litigation, disputes, claims, arbitration, and regulatory matters, including management of external legal counsel.Coordinate with external lawyers, regulators, government authorities, auditors, consultants, and other professional advisers.Review and advise on employment, intellectual property, data protection, regulatory, real estate, financing, and other legal matters where required.Maintain oversight of the group’s corporate records, licenses, registrations, powers of attorney, and statutory documentation.Monitor changes in legislation and advise management on their potential impact on the group’s operations.Provide legal support for financing arrangements, banking transactions, guarantees, securities, and corporate investments.Manage the legal department’s budget, external counsel relationships, and legal service providers.Maintain confidentiality of sensitive corporate, commercial, financial, and legal information.Board & Corporate Governance ResponsibilitiesPrepare and review Board and shareholder resolutions.Advise the Board on directors’ duties, corporate governance, and legal obligations.Support preparation and review of Board and shareholder meeting documentation.Maintain statutory and corporate records.Ensure corporate actions are properly documented and authorized.Advise on conflicts of interest, related-party transactions, and corporate approvals.Qualifications & ExperienceBachelor’s degree in Law (LLB) or equivalent legal qualification.Professional legal qualification/admission to practice in the relevant jurisdiction, where applicable.Master’s degree in Corporate Law, Commercial Law, or an MBA would be an advantage.Significant experience in corporate and commercial law, preferably within a holding company, multinational group, investment company, or major law firm.Must be a qualified solicitor.Key SkillsExcellent legal drafting and contract negotiation skills.Strong corporate governance knowledge.Strategic and commercial approach to legal issues.Salary AED 65000-70000(all inclusive)
