Role DescriptionHemroc Building Contracting LLC is seeking an experienced Freelance Legal Advisor fluent in Arabic and English to provide specialized legal support for our UAE construction, corporate restructuring, and commercial operations.In this role, you will work closely with executive leadership, project managers, and commercial teams to navigate complex FIDIC-based construction contracts, supplier and subcontractor agreements, joint venture structures, and group corporate reorganizations. You will evaluate legal exposure, ensure strict adherence to UAE Federal and local labor laws, and lead dispute resolution and claims mitigation strategies to protect company interests.Key ResponsibilitiesContract Drafting & Negotiation: Draft, review, and finalize bilingual (Arabic/English) commercial contracts, subcontracts, procurement agreements, JV agreements, and client terms of business aligned with UAE construction standards.Corporate Restructuring & Governance: Provide actionable legal counsel on group corporate restructuring, share transfers, entity reorganizations, and cross-border commercial holdings under UAE Commercial Companies Law.Risk & Claims Management: Identify legal and commercial risks in ongoing project execution; advise on delay claims, liquidated damages, variation orders, and dispute resolution procedures (negotiation, mediation, and UAE court processes).Labor & Regulatory Compliance: Advise on UAE Labor Law regulations, employment contracts, visa compliance, statutory filings, and health & safety compliance within the contracting sector.Bilingual Legal Counsel: Conduct legal analysis and review official documentation in both Arabic and English, ensuring statutory compliance with local ministries, municipalities, and judicial bodies.External Counsel Liaison: Coordinate with external legal representatives, arbitration bodies, or law firms when managing complex litigation matters or statutory disputes.Qualifications & RequirementsEducation: Bachelor’s degree in Law (LLB) or equivalent from a recognized institution; Master of Laws (LLM) or active Bar Admission/Legal License is highly advantageous.Language Fluency: Native or legal-grade fluency in written and spoken Arabic and English is mandatory (capable of drafting legal pleadings, commercial contracts, and official letters in Arabic).Industry Experience: Minimum 5–8+ years of hands-on legal experience as in-house counsel or legal consultant within construction, civil engineering, corporate restructuring, or real estate in the UAE/GCC region.Core Technical Expertise:In-depth knowledge of UAE Civil Code, Commercial Companies Law, FIDIC contracts, and UAE Labor Law.Proven track record in corporate restructuring, entity rationalization, and commercial contract negotiation.Experience handling construction claims, dispute boards, and subcontractor dispute management.Skills: Strong analytical acumen, high integrity, excellent negotiation skills, and the ability to operate independently within an active on-site and corporate environment.
