Governance Director

We are seeking a Governance Director to lead corporate governance and board affairs, and to serve as a trusted strategic advisor to the CEO. You will ensure board and committee meetings run with rigor, directives are executed on time, and the organization operates within a strong governance framework.What you'll do

• Lead the end-to-end board and committee cycle: agendas, board packs, meeting facilitation, minutes, and resolution tracking
• Advise the CEO ahead of and during board meetings, providing strategic briefings and recommendations
• Own the corporate governance framework, including charters, policies, and delegation of authority
• Receive CEO and board directives, convert them into action plans, and track delivery across business units
• Ensure compliance with applicable regulations and governance codes, and report on gaps and risks
• Act as a strategic key point of contact between the board, the CEO, and senior management
• Safeguard highly confidential and sensitive informationWhat we're looking for
• Bachelor's degree in Law, Business, Management, or a related field; a master's degree, or a governance qualification (e.g., Corporate Governance, CGP, or similar) is a plus
• [8–10] years of experience in corporate governance, board secretariat, strategy, or the office of a senior executive, including [3+] years in a leadership role
