The Governance Manager plays a key role in strengthening and maintaining effective corporate governance practices across BIHG and its subsidiaries. The role is responsible for supporting Board and General Assembly requirements, developing and maintaining governance policies and charters, monitoring compliance with applicable regulations and internal governance requirements, and strengthening governance practices across subsidiaries.Key Responsibilities1. Board Governance & General AssembliesPrepare, draft, and review Board reports and governance-related materials in accordance with applicable regulations and internal requirements.Support Board and committee governance activities and ensure alignment with approved governance requirements.Support the preparation and coordination of General Assembly meetings in accordance with applicable regulatory requirements.Ensure governance documentation and related activities are completed accurately and within required timelines.2. Governance Policies & ChartersDevelop, review, and update corporate governance policies, frameworks, and procedures.Develop and maintain Board and committee charters in line with applicable governance requirements.Ensure internal policies are aligned with the Group's overarching policy framework.Identify opportunities to enhance governance policies, procedures, and practices across the organization.3. Governance ComplianceMonitor compliance with applicable corporate governance regulations, internal policies, and governance requirements.Assess governance practices and identify gaps, areas of non-compliance, and opportunities for improvement.Recommend appropriate corrective actions and support their implementation and follow-up.Provide guidance to relevant stakeholders on governance requirements, policies, and best practices.4. Subsidiary GovernanceSupport the development and implementation of governance structures across subsidiaries.Monitor subsidiary compliance with Group governance policies, frameworks, and requirements.Strengthen governance practices governing the relationship between the holding company and its subsidiaries.Collaborate with subsidiary management and relevant corporate functions to ensure consistent application of governance standards across the Group.5. Stakeholder Management & Governance AdvisoryBuild effective working relationships across subsidiaries and corporate functions.Provide governance advice and support to relevant stakeholders on governance-related matters.Collaborate with internal stakeholders to align governance practices with business objectives and Group strategy.Analyze complex governance matters, identify root causes, and recommend practical solutions.Qualifications & ExperienceBachelor's degree in Management, Law or equivilant.Minimum of 8 years of professional experience in corporate governance or companies' law.At least 3 years of corporate governance experience within a listed company.At least 2 years of experience within a holding company environment.Strong knowledge of Board governance, General Assembly procedures, governance policies, charters, and regulatory compliance.Strong understanding of holding company and subsidiary governance structures and relationships.Experience in developing and reviewing governance policies, frameworks, Board and committee charters.Corporate governance certification or relevant professional training, such as ICCGO or Saudi Corporate Governance Code training, is preferred.
