Your new company We have been mandated by a listed company to appoint a Head of Company Secretary. This is a senior leadership opportunity to lead the company secretarial team while driving corporate governance, regulatory compliance, and board-level matters across the organisation. Your new role Lead the Company Secretarial function, overseeing governance and compliance matters for the Group and its subsidiaries.Advise the Board and senior management on HK Listing Rules, corporate governance, statutory obligations, and regulatory developments.Manage board, committee, and shareholder meetings, including the preparation of agendas, resolutions, minutes, and governance documentation.Oversee corporate disclosures, including annual and interim reports, announcements, circulars, and other regulatory filings.Support strategic transactions, including M&A, investments, fundraising exercises, financing activities, and corporate restructuring projects.Drive governance enhancements and compliance initiatives, ensuring the Group maintains best-practice corporate governance standards.Manage statutory records and regulatory filings across Hong Kong and offshore entities.Partner with regulators, external advisers, and key stakeholders on governance, compliance, and corporate matters.Lead, mentor, and develop the Company Secretarial team, ensuring effective delivery of all governance and compliance responsibilities.Support ad hoc corporate projects and business initiatives as required. What you'll need to succeed HKCGI/CGI Associate or Fellow Member with a degree in Corporate Governance, Business Administration, Law, or a related discipline.10+ years of company secretarial experience, including experience in leading the company secretarial division.Strong knowledge of HK Listing Rules, Companies Ordinance, SFO, Takeovers Code, corporate governance, and listed company compliance requirements.Exposure to corporate transactions, M&A, fundraising exercises, and other listed company matters would be advantageous.Proven leadership experience with the ability to manage, mentor, and develop a company secretarial team.Excellent stakeholder management, communication, and organisational skills.Fluent in English and Chinese, both written and spoken.Detail-oriented, proactive, and capable of managing multiple priorities in a fast-paced environment.Proficient in Microsoft Office applications, including Word, Excel, and PowerPoint.Willingness to do business travel What you need to do now If you're interested in this role, click 'apply now' or for further information and a confidential discussion on this role or to find out about more opportunities in legal and company secretarial space, contact Morris Chan at Hays at +852 2230 7447 or email your CV to morris.chan@hays.com.hk
