Through strategic alliances and relationships with international legal and specialist advisors, the firm also supports clients on cross-border matters and engagements requiring international expertise.WASF offers its professionals the opportunity to work on sophisticated mandates, engage directly with leading businesses and institutions, and contribute to the continued growth of an ambitious and evolving Saudi legal practice.Role OverviewWASF is seeking an experienced Head of Corporate & Commercial to lead, develop and grow one of the firm's core legal practices.The role combines senior legal advisory, practice leadership, client relationship management and commercial accountability. The successful candidate will be responsible for the technical quality, revenue, profitability, pipeline, team development and overall performance of the Corporate & Commercial Practice.The Practice covers three principal areas:Corporate & Transactions Commercial Contracts & Advisory Projects & Government Contracts Key ResponsibilitiesPractice LeadershipLead the Corporate & Commercial Practice and be accountable for its overall performance. Develop and implement the Practice's annual business and growth plan. Establish appropriate standards, methodologies and quality controls across the Practice. Supervise, develop and evaluate lawyers within the Practice. Allocate matters effectively and ensure appropriate senior oversight. Work closely with Legal Operations & Delivery on workload, utilization, delivery performance and capacity planning. Corporate & TransactionsLead corporate structuring, company formation and reorganization mandates. Lead mergers and acquisitions, joint ventures and investment transactions. Advise on shareholders' arrangements, capital structures and corporate reorganizations. Lead legal due diligence and transaction execution. Advise Saudi and international investors on corporate and investment matters. Lead negotiation and drafting of transaction documentation. Commercial Contracts & AdvisoryLead the drafting, review and negotiation of complex commercial agreements. Advise on services, supply, distribution, agency, technology, outsourcing and other commercial arrangements. Provide ongoing corporate and commercial advisory to clients. Oversee employment-related corporate advisory and specialist commercial rights matters. Provide senior-level legal opinions on complex commercial matters. Projects & Government ContractsAdvise on projects, construction and infrastructure arrangements. Lead government contracts and public procurement advisory. Advise on tenders, contractual claims, variations, extensions and project-related issues. Support major commercial and project negotiations. Clients & Business DevelopmentOriginate new clients, mandates and revenue opportunities. Develop and maintain relationships with senior client stakeholders. Maintain a qualified opportunity pipeline for the Practice. Lead strategic proposals, tenders, pitches and client meetings. Identify cross-selling opportunities across WASF's other practices and solutions. Support development of sector-based client strategies. Financial & Commercial ManagementOwn the Practice's annual revenue and profitability targets. Monitor matter economics, pricing, realization and collections. Ensure matters are appropriately scoped and commercially viable. Maintain disciplined resourcing in line with revenue and workload. Support Finance in forecasting Practice performance. RequirementsBachelor's degree in Law from a recognized university. Minimum 10 years of relevant legal experience, with substantial corporate and commercial experience. Demonstrated experience leading sophisticated transactions and commercial matters. Strong experience in contract drafting and negotiation. Strong understanding of Saudi corporate, commercial and investment laws. Experience managing lawyers and supervising complex legal matters. Proven ability to develop clients and originate business. Strong commercial and financial awareness. Excellent Arabic and English drafting and communication skills. Ability to engage effectively with boards, executives, investors and senior client stakeholders.
