Each of them needs a governance framework that will stand up to a regulator, a shareholder and an auditor.
Key Responsibilities
Board and committee constitution, charters and terms of reference, calendars, papers, minutes and the resolution record, across several entities and jurisdictionsThe authority model: delegation of authority matrices reconciled against the powers of attorney that make them effective outwardly, kept current as entities and licences are addedEntity management and the statutory books, including appointment and supervision of the corporate service providerCorporate housekeeping - keeping registers, articles, constitutional documents and filings consistent with one anotherThe shareholder machinery under the shareholders' agreement: reserved matters, consents, notices and adherence, and getting matters approved by the right organ in the right orderDirectors' and officers' cover and deeds of indemnityCorporate filings across the group's registriesMust-Have Qualifications:A legal qualification, with corporate governance or company secretarial practice at a regulated financial institution or a listed groupReal board and shareholder mechanics, not minute takingMulti-entity, multi-jurisdiction entity managementComfort with a shareholders' agreement and articles as working documentsThe judgement to tell an executive that something has to be done in a particular sequence, and the patience to make that sequence happen- Excellent draftingNice to Have:UAE and free zone experienceUK or EU governance standards
