Community. framework, TECfusions combines innovative technology, power strategies, high-efficiency infrastructure and operational excellence to support the growing demands of AI and high-performance computing.Position OverviewTECfusions is seeking an experienced In-House Counsel to join our legal team in Clearwater, Florida. This individual will provide hands-on legal support across corporate, commercial, securities, governance and general business matters.The ideal candidate is a versatile corporate attorney with strong contract and transactional experience who can work independently, provide practical business guidance and support the evolving legal needs of a rapidly growing organization.Key ResponsibilitiesDraft, review and negotiate commercial agreements, including MSAs, SOWs, SLAs, vendor agreements, procurement contracts, consulting agreements, NDAs and other business agreements.Support corporate transactions, financings and strategic initiatives.Assist with SEC, securities and corporate governance matters.Support SEC filings, corporate records, resolutions, policies and compliance requirements.Provide day-to-day legal counsel to business and functional teams.Advise on contractual, corporate, regulatory, employment and compliance matters.Identify legal and contractual risks and recommend practical solutions.Support claims, disputes and litigation matters as needed.Coordinate with and manage outside counsel on specialized matters.Develop and maintain contract templates, legal processes and corporate documentation.QualificationsJuris Doctor (JD) from an accredited law school.Active membership in good standing with at least one U.S. state bar; Florida admission or eligibility preferred.5+ years of relevant corporate legal experience in-house and/or with a law firm.Strong commercial contract drafting and negotiation experience.Corporate and transactional experience required.Public-company and SEC/securities experience strongly preferred.Corporate governance experience preferred.Experience with SEC reporting, capital markets or public-company transactions is a plus.Data center, technology, energy, infrastructure or construction industry experience is a plus, but not required.Strong business judgment, communication and analytical skills.Ability to independently manage multiple priorities in a fast-paced environment.TECfusions is an Equal Opportunity Employer.
