Legal & Compliance Officer

Job Overview:We are looking for a skilled Legal & Compliance Officer with a strong legal foundation to oversee our regulatory compliance, corporate governance, and risk management efforts in Hong Kong. You will be at the forefront of our global payment operations and Web3 initiatives (including digital assets, VASP, and DeFi frameworks), acting as the primary liaison with regulators, managing licensing projects, and providing legal-compliant guidance on M&A activities. If you thrive at the intersection of law, technology, and finance, and want to shape the compliance landscape of a fast-growing global player, we want to hear from you.Key Responsibilities:1.Strategic Regulatory Leadership & Policy FormulationDirect and oversee regulatory compliance strategies across traditional payments and Web3/digital asset frameworks. Lead proactive engagements, formal reporting, and strategic communications with key regulatory authorities.Anticipate local and international regulatory shifts (Web3, AML/CTF, cross-border payments) and translate complex requirements into actionable corporate strategy.2. Enterprise Governance & M&A OversightSupervise global corporate governance structures, ensuring rigorous compliance manuals, internal controls, and constitutional documentation. Lead compliance due diligence for complex M&A, strategic partnerships, Web3 protocol integration, and institutional banking relationships.Partner with C-suite executives and legal teams to structure cross-border transactions and manage risk across corporate restructurings.3.AML/CFT Framework & Financial Crime ComplianceOversee the end-to-end AML/CFT and Sanctions program, providing strategic guidance to the MLRO and compliance teams.Ensure seamless, high-grade reporting to regulatory bodies and audit committees.Implement advanced, tech-enabled transaction monitoring and risk detection systems suitable for high-volume payments and Web3 on-chain/off-chain transactions.4.Legal Advisory & Risk ManagementServe as the primary internal legal counsel on regulatory, corporate, commercial, and operational matters.Manage legal risks arising from product launches, cross-border operations, data privacy, cybersecurity, intellectual property, and consumer protection issues.Oversee external counsel engagement, litigation strategy, regulatory investigations, and dispute resolution.Ensure the company’s policies, procedures, and product terms are legally sound and aligned with evolving Hong Kong and international legal standards.5. Team Leadership & Stakeholder ManagementBuild, mentor, and lead a high-performing compliance team, fostering a culture of integrity, accountability, and continuous learning. Serve as the trusted compliance advisor to the Board of Directors, executive management, and external institutional partners.Key Requirements1. Experience: 3–5 years of relevant experience in compliance, legal, or related functions within the financial services sector. Candidates with a legal background (whether as in-house counsel, in a law firm, or in a dual legal/compliance capacity) are strongly preferred.2. Domain Expertise: Good working knowledge of regulatory frameworks and AML/CFT requirements. Familiarity with licensing processes or Web3 compliance practices is an advantage.3. Track Record: Experience in supporting compliance functions and liaising with internal stakeholders or external regulators is preferred.4. Education & Credentials: Bachelor’s degree in Law, Finance, Business, or a related field. Professional certifications or a legal qualification are a plus.5. Language Skills: Proficiency in English and Chinese (Mandarin/Cantonese) is preferred for effective stakeholder communication.6.
