As we continue to expand our presence in the IT landscape, we remain committed to delivering cutting-edge solutions that not only meet but exceed our clients' expectations.Job Summary/ObjectiveThe Legal Counsel will provide comprehensive legal support to the company, with a primary focus on commercial contracts, regulatory compliance, corporate governance, employment matters, and dispute management.The role is responsible for protecting the company’s legal interests, identifying and mitigating legal and contractual risks, and ensuring that business operations comply with the applicable laws and regulations of the Kingdom of Saudi Arabia.Key ResponsibilitiesProvide legal advice and opinions to senior management and business functions on a wide range of legal and commercial matters.Protect the company’s legal position and proactively identify, assess, and mitigate legal, regulatory, and contractual risks.Ensure contracts, agreements, policies, and internal procedures comply with applicable Saudi laws and regulations, including the Companies Law, Labor Law, Civil Transactions Law, and Government Tenders and Procurement Law.Draft, review, negotiate, and advise on commercial agreements, including customer, supplier, partnership, distribution, service, NDA, SLA, and other business-related contracts.Review and assess high-risk contractual provisions, including limitation of liability, indemnities, warranties, penalties, termination, governing law, and dispute resolution clauses, and recommend appropriate alternatives.Coordinate with Sales, Procurement, Finance, HR, and other departments during contract negotiations and provide legal guidance throughout the contracting process.Develop, maintain, and periodically update standard contract templates, legal forms, and related documentation.Maintain an effective contracts register and monitor contract status, renewal dates, expiry dates, obligations, and key contractual milestones.Review employment contracts, HR policies, internal regulations, and other employment-related documentation in coordination with Human Resources.Provide legal support on labor disputes and cases, including preparing legal responses, statements of defense, and required documentation.Represent the company before courts, government authorities, and quasi-judicial bodies, where legally permitted, or coordinate and supervise external legal counsel.Prepare and review corporate governance documents, including General Assembly minutes, Board resolutions, powers of attorney, and other corporate records.Monitor changes and developments in Saudi laws and regulations and assess their potential impact on the company’s business and operations.Communicate relevant legal and regulatory updates to management and concerned departments and recommend appropriate actions.Support the company in government tenders and procurement matters by reviewing tender-related legal requirements, contractual terms, and obligations.Maintain proper legal documentation and records and ensure confidentiality of sensitive legal and corporate information.Perform any other legal duties and responsibilities assigned by the direct manager.Qualifications & ExperienceBachelor’s degree in Law or Sharia and Law from a recognized university.3–5 years of relevant legal experience, preferably within a corporate, commercial, or IT environment.Strong experience in commercial contract drafting, review, and negotiation.Practical knowledge of applicable Saudi laws and regulations, particularly:Companies LawLabor LawCivil Transactions LawGovernment Tenders and Procurement LawCommercial and contractual regulationsExperience in handling or coordinating litigation, labor cases, and dispute resolution is preferred.Experience in corporate governance and legal compliance is an advantage.Saudi Ministry of Justice legal practice license is preferred.Strong command of Arabic and English, with the ability to draft and negotiate legal documents in both languages.Strong analytical, negotiation, communication, and problem-solving skills.High level of attention to detail and ability to manage multiple legal matters and deadlines.Key CompetenciesCommercial Contract Drafting & NegotiationSaudi Legal & Regulatory ComplianceLegal Risk ManagementCorporate GovernanceLitigation & Dispute ManagementLegal Research & AnalysisContract ManagementNegotiation & Stakeholder ManagementAttention to DetailBusiness AcumenConfidentiality & Professional Integrity
