Apply & track with Apply EdgeAbout the roleProvide professional, practical legal and compliance advice to business and support functions, protecting the interests of the Company and its group entities in Thailand and other jurisdictions. This role encompasses contract and corporate law, compliance matters, and support for complex legal transactions.Key responsibilitiesDraft, review, revise and negotiate commercial contracts, agreements and other legal documentsManage corporate governance and company-secretarial matters, including statutory records and filings, board and shareholder meetings, and corporate changesSupport corporate transactions and complex legal matters, including restructuring, mergers and acquisitions, project finance, disputes and litigation, coordinating with external counsel as requiredIdentify and assess legal risks, recommend pragmatic solutions, and maintain accurate legal, corporate, license and compliance recordsMonitor legal and regulatory developments, evaluate their business impact, and communicate required actions to management and relevant teamsLiaise with government authorities, regulators, external counsel and group entities on legal and compliance mattersAdvise on licenses, registrations and incentives, including BOI, FBC/FBL, energy business licenses, renewable energy attributes and carbon creditsPrepare legal and compliance reports, deliver training, and perform other duties assigned by managementQualificationsBachelor's degree in law; a master's degree is preferredLicensed lawyer and admitted to the Institute of Legal Education of the Thai Bar AssociationAt least five years of experience as a contract and corporate lawyer, plus at least two years of experience in compliance mattersExperience in the energy sector, particularly solar power, is strongly preferredLaw-firm experience is an advantageStrong knowledge and practical experience in contract and corporate law, energy-related regulations and international lawExperience in dispute resolution, litigation, project finance, and mergers and acquisitions is preferredStrong contract drafting, review, revision and negotiation skillsExcellent analytical ability to identify legal risks and recommend commercially practical solutionsBusiness-level fluency in written and spoken Thai and EnglishBenefitsCompetitive salary and compensation packageAnnual bonusPerformance-based bonus (KPI)Health, dental and life insuranceProvident fundMobile phone allowance14 days of annual leaveContact : supphanat.t@greenyellow.com
