Role Description To fulfil the responsibilities as a Legal Manager, the primary objective is to support the General Counsel in executing legal and governance duties essential for meeting the Company's operational requirements. This includes meticulously evaluating legal agreements, contracts, and various legal documentation, ensuring compliance with SAMA's governance mandates, alongside other required regulations.ResponsibilitiesSupports management on decision-making through comprehensive legal analysis, advising on legal implications, contract negotiation, compliance oversight, and proactive management of litigation and dispute resolution to safeguard operations and foster sustainable growth.Oversee regulatory and compliance matters, and assist in the participation of audits to meet regulatory and internal policies requirements.Supports the General Counsel in the mandate of the Legal & Governance Department, attending and drafting minutes of meetings when delegated by the General Counsel, liaising with MoC, MISA, SAMA, CITC, and other relevant government entities, drafting dual language resolutions and other documents as necessary, organizing the digital library of AESA, maintaining a register for relevant policies and manuals.Supports operational stakeholders by implementing and ensuring compliance with approved policies and regulatory standards, verifying consistent governance practices, preparing and reviewing agreements supervised by the General Counsel, and providing legal insights for all business units during contract preparation. Maintains and assists in contracts preparation, providing legal insights for all the business units.Supports on providing legal advice regarding new products and projects, in line SAMA and MoC guidelines.Conducts legal analysis of new regulations, to verify impacts and communicate the same to General Counsel and management, to ensure AESA compliance.Checks and endorses marketing material and planned advertisements to verify compliance with CITC, SAMA, and Sharia’a Board.Liaise with Compliance, Internal Audit, General Counsel and Human Resources teams, act as a point of contact with employees to answer governance inquiries, and support on creating governance awareness.Reviews regularly the policies, procedures and manuals; keeps tabs on when they need to be reviewed, the approval hierarchy, collating them in a safe place, liaising with various departments to ensure that all required policies, procedures and manuals exist and are compliant with applicable laws and regulations.Complies with all relevant safety, quality and environmental procedures to ensure a safe and healthy work environment.Draft, implement, and manage all relevant departmental policies, processes, standard operating procedures and instructions so that work is carried out in a controlled and consistent manner.Adherence to the department policies, processes and procedures.QualificationsBachelor’s Degree in Law (LL.B); or Political Sciences with a Master’s Degree in Law (LL.M).4-8 years of experience.Must have a good basic knowledge of using Microsoft Word, Power Point, and Excel.At minimum, have a good knowledge of the Companies Law; an added bonus if they are familiar with the applicable and relevant SAMA regulations.Must be fluent in both Arabic and English languages, written and verbal.Must have great attitude, an appetite to learn and develop, and accepts constructive feedback.Must be disciplined, resilient, committed and responsible.Must be willing to work long hours when necessary.Salary Range20000-30000
