Legal Counsel

Job Overview:We are seeking an experienced Legal Counsel to support our UAE operations, with a strong focus on commercial contracts, distribution arrangements, dispute resolution, litigation, and employment matters. The ideal candidate should have solid practical experience with UAE Commercial Agencies Law and Free Zone contractual frameworks. Experience under the DIFC or ADGM legal frameworks is highly preferred.Key Responsibilities:Draft, review, and negotiate distribution, agency, supply, reseller, and commercial agreements.Provide legal advice on UAE Commercial Agencies Law, distribution structures, exclusivity, termination, and contractual risk.Lead legal support for commercial disputes, dispute resolution, arbitration, and litigation, coordinating with external counsel where required.Review employment contracts, consultancy agreements, confidentiality agreements, restrictive covenants, and termination arrangements.Advise HR and management on UAE employment and labour law matters.Identify and mitigate legal and regulatory risks across UAE operations.Develop and maintain standard contract templates and practical legal guidelines.Work closely with Sales, Finance, HR, Compliance, and senior management to provide commercially practical legal solutions.Job Requirements:Bachelor's degree in Law or equivalent legal qualification.5+ years of relevant legal experience in the UAE, with solid understanding and strong practical knowledge of DIFC or ADGM legal frameworks.of UAE distribution regulations.Proven experience in commercial contracts, distributor protection, dispute resolution, and litigation.Experience in FMCG, consumer goods, retail, distribution, or trading is an advantage.Excellent legal drafting, negotiation, analytical, and communication skills.Fluent in English; Arabic and Mandarin are advantageous.Must be able to work on-site in Dubai.About PAX(Hayati®):PAX, established in 2021 and headquartered in Hong Kong, operates globally.
