Legal Director

Our client is Hong Kong listed company and currently looking for a highly qualified legal & compliance professional to fill the Legal Director position to be based in Hong Kong.Key ResponsibilitiesReport directly to the Vice President, ensure compliance with the Listing Rules and Corporate Governance Code; lead legal review of annual/interim reports, results announcements and statutory filings; monitor regulatory updates from HKEX and SFC;Assist the Board in optimising governance frameworks; provide legal support for Board and committee meetings; advise on directors' statutory duties and fiduciary responsibilities;Lead negotiation and review of major contracts; manage legal due diligence and deal structuring for M&A and investment projects; oversee Red-chip/VIE compliance;Establish and enhance compliance systems (anti-corruption, AML, data privacy, insider trading); handle regulatory enquiries, investigations and litigation;Lead the legal team; manage selection and engagement of external counselQualifications:Law degree; qualified solicitor/barrister in Hong Kong or other common law jurisdiction (PRC qualification a plus);Experience: 12+ years of legal experience, with 5+ years as legal head of a HK-listed company or partner/senior associate at an international law firm; hands-on experience in HK IPO or major cross-border M&A;Professional Knowledge & Skills: Strong knowledge of the Listing Rules, Companies Ordinance and SFO; familiar with cross-border M&A, private equity financing and Red-chip/VIE structures; excellent legal drafting and negotiation skills in both English and Chinese;
