Apply & track with Apply EdgeDirector, Legal & Governance | Jeddah, Saudi ArabiaSELECTED are hiring for a Director, Legal & Governance to join a major Saudi infrastructure and logistics group headquartered in Jeddah.This is a senior individual contributor role reporting directly to the CFO. There are no direct reports. You will own the corporate legal and governance agenda across the group and its subsidiaries, working alongside a wider legal team and the Board Secretary rather than managing them. It suits someone who wants influence at Board level without the overhead of running a department.What you will ownDesigning, implementing and maintaining the group-wide corporate governance framework, aligned to Saudi regulatory requirements and international best practice.Board and Committee charters, delegations of authority, governance policies and corporate authorities, including oversight across subsidiaries and joint ventures.Strategic legal advice on corporate structuring, shareholder arrangements, joint ventures, concessions and subsidiary entities.Legal workstreams for M&A, investments, business development and international expansion, coordinating internal and external advisors.Statutory compliance, corporate filings, regulatory submissions and key corporate records.Board-level advisory, serving as a trusted counsel to the CFO, CEO and Board on legal, governance and regulatory matters, including escalation of material risks.Partnering with the Board Secretary on the Board and Committee cycle, supporting documentation and resolutions, without owning the Secretariat function.What we are looking forBachelor's degree in Law from a recognised university. A professional legal qualification is preferred.12+ years of corporate legal and governance experience, with a significant portion in senior roles at complex corporate, infrastructure, logistics, industrial or multinational organisations.Demonstrable experience building and running corporate governance frameworks, Board and Committee governance, and delegations of authority.Experience with corporate structuring, shareholder arrangements, joint ventures, M&A and strategic transactions.Strong knowledge of Saudi corporate, commercial and regulatory requirements. Cross-border experience is a plus.A track record of advising Boards, CEOs and CFOs, with the judgement to translate complex legal issues into clear commercial recommendations.The role is based in Jeddah.
