We are partnered with a prestigious private investment group in Dubai to find an experienced legal professional for a newly created, high-impact role.Location & Working Pattern 📍 Dubai, UAE 🗓️ 5-day week: 4 days in office, 1 day remoteWhat We're Looking ForLLB / LLM qualifiedA background combining law firm and in-house experience is often preferredStrong knowledge of UAE Mainland, free zone, DIFC and ADGM frameworksProven experience in commercial contracts, disputes, compliance and JVsExperience advising principals or senior decision-makers and managing senior stakeholdersFluent in English and ArabicConfident, approachable and highly discreet, able to hold your own with senior leadershipExperience in real estate, infrastructure or aviation is a strong plusUAE Legal Consultant licence or right of audience is a plus, though not usually required in-houseKey ResponsibilitiesContracts and CommercialDraft, review and negotiate commercial agreements such as NDAs, service and supply agreements, leases, SPAs, shareholder agreements and JV agreementsMaintain contract templates and a contract management systemAdvise business teams on contractual risk and obligationsCorporate and GovernanceHandle company formation, licensing and restructuring across Mainland, free zones (DMCC, JAFZA and others) and financial free zones (DIFC, ADGM)Manage corporate secretarial work: board and shareholder resolutions, powers of attorney, trade licence renewals, UBO filingsSupport M&A, JVs and market entry or exit, including due diligenceDisputes and LitigationManage disputes, claims and litigation before UAE courts, DIFC/ADGM courts and arbitration bodies (DIAC, ICC)Instruct and supervise external law firms and manage legal spendHandle pre-litigation matters such as legal notices, settlements and debt recoveryRegulatory and ComplianceEnsure compliance with UAE laws including the Commercial Companies Law, Labour Law, AML/CFT, the data protection law (PDPL), Economic Substance and Corporate Tax requirementsDevelop internal policies such as the code of conduct, delegation of authority and anti-bribery policiesMonitor regulatory changes and advise management on their impactAdvisory and Stakeholder ManagementAct as legal advisor to senior management and the boardAdvise HR on employment mattersDeliver legal training and awareness to staff
