قدّم وتابع مع أبلاي إيدجJOB PURPOSE:Job holders at this level provide legal support by identifying legal risks or issues, using conceptual knowledge of legal practices and techniques, and establishing a sound understanding of TAQA’s business and governance; and providing expert advice on avoiding, managing, mitigating, and/or containing the consequences of those risks as required. Job holders at this level take direct responsibility and accountability for their work assignments, commensurate with seniority.KEY ACCOUNTABILITIES:Legal AdvisoryTake ownership of all legal advisory related tasks delegated by general counsel and deliver on-time and accurate solutions (including identifying legal risks and mitigation plans) by utilizing legal acumen, knowledge of relevant regulations and understanding of specific department requirements.Stay updated on regulatory changes to identify required changes in legal risk perception, legal clauses or frameworks/policies.Identify and define legal strategies that will give an advantage to and facilitate the company’s business and economic plan and agenda.Legal ResearchGuide junior team members and stay updated on regulatory changes in terms of labor laws, taxation, etc. to identify required changes in legal risk perception, legal clauses or frameworks/policies.Document legal cases and refer to them for reference, to provide best-fit legal solutions for incidents, cases or advisory requests.Litigation ManagementAdvise functional heads on the litigation risks of possible business decisions, providing preventive counselling with respect to the legal risks associated with business practices.Collaborate with external legal counsel/firms to appropriately address litigation and regulatory inquiries (including negotiating settlement agreements where appropriate), while maintaining cost-effectiveness in related operations and resource management.Contracts & Legal DocumentationAs delegated by reporting manager, take complete ownership to review agreements and contracts carrying legal risks, and guide the development of relevant templates, forms, etc. to mitigate such legal risks in alignment to organizational and regulatory requirements.Guide the company through legal aspects of invitations to tender, bid, requests for proposals and the like, and mitigate legal risks arising from participation therein and communications arising therefromAdvise on the development of relevant templates, forms, etc. to mitigate legal risks in alignment to organizational and regulatory requirements.Create and review official notices and letter issues to the clients or service providers, such as termination, renewal or warnings.Group Subsidiary/JV/Affiliate related GovernanceAs delegated by reporting manager, work on shareholder matters or legal issues related to JVs/fully owned subsidiaries/affiliates, to deliver appropriate legal solutions in accordance to existing agreements and organization's strategic objectives.Manage any changes, amendments or updates to, constitutional and corporate documents of designated affiliates (including, Articles of Association, By-laws, commercial registration, etc.), ensure their compliance with applicable law and overall consistency, manage communications with competent governmental authorities in this regard.Support secretaries of general assemblies and boards of directors with, e.g., preparing agenda of meetings; distribution of meeting invites to required attendees and reschedule meetings, as necessary; Organizing meetings; capturing minutes of meetings, resolutions, etc.QUALIFICATIONS, EXPERIENCE & COMPETENCIES:Education / QualificationsRequired: Master’s Degree in Law.Preferred: Admitted to a recognized bar.Certifications:Valid Practicing Certificate preferredExperience: Minimum 10 years of private and/or inhouse practice, preferably in Energy & Utilities sector
