Legal Officer

Foxhog is looking for a detail-oriented and commercially aware Legal Officer to support its venture capital and investment activities. The role will involve handling legal documentation, investment transactions, due diligence, regulatory compliance, contracts, and legal matters related to startups, founders, and portfolio companies.The ideal candidate should have a strong understanding of corporate and commercial law, excellent drafting skills, and an interest in the venture capital and startup ecosystem.Key ResponsibilitiesHandle legal documentation related to venture capital investments and transactions.Conduct and support legal due diligence on startups, founders, and potential investment opportunities.Review and draft investment agreements, term sheets, shareholder agreements, subscription agreements, NDAs, and other transaction documents.Review corporate records, ownership structures, statutory filings, and other documents during due diligence.Support the legal aspects of investment deals from initial discussions through closing.Review and negotiate commercial agreements with founders, portfolio companies, vendors, and other stakeholders.Ensure investment documentation is accurate, complete, and aligned with applicable laws.Monitor legal and regulatory requirements relevant to venture capital and investment activities.Coordinate with external legal counsel, consultants, founders, and internal teams.Maintain and organise legal records, agreements, due diligence reports, and transaction documents.Identify potential legal risks and provide practical inputs to the management team.Support compliance requirements related to corporate, investment, and business operations.Track important legal deadlines, renewals, filings, and contractual obligations.Assist with legal research on regulations, corporate matters, investments, and startup-related issues.RequirementsLLB / LLM from a recognised institution.2–5 years of relevant experience in corporate law, investment transactions, venture capital, private equity, or a law firm handling corporate matters.Strong knowledge of corporate and commercial laws.Understanding of venture capital, startup investments, term sheets, and investment documentation is preferred.Excellent legal drafting and contract-review skills.Strong research and analytical abilities.Good written and verbal communication skills.Strong attention to detail and documentation skills.Ability to understand commercial objectives and identify legal risks.Ability to manage multiple transactions and deadlines effectively.High level of professionalism and confidentiality.
