Management Trainee - Legal

Palicao is recruiting a Management trainee - Legal for one of our clients, a major actor in African industrialization.The Management Trainee will support the Legal Department across key areas including M&A transactions, contract drafting and review, compliance and Public Private Partnership (PPP) projects. The role offers structured exposure to complex cross-border transactions, legal structuring, regulatory frameworks and corporate governance.The position is based in one of the sab-Saharian African countries where the client is present: Cameroon, Ghabon, Ghana, Benin, Togo, Sierra Leone, Kenya, Tanzania, Rwanda, Ivory Coast, DRC or ROC.the position report directly to the general counsel.Key Responsibilities:M&A TransactionsSupport mergers, acquisitions and strategic investmentsAssist in legal due diligence and data room managementReview NDAs, term sheets, SPAs and SHAsPrepare legal summaries and risk analysisSupport transaction closing processesContract Drafting & ReviewDraft and review commercial agreements (service, supply, consultancy, MoUs)Identify legal risks and suggest mitigationEnsure alignment with company policiesSupport contract lifecycle managementCompliance & Corporate GovernanceSupport AML and anti-bribery compliance frameworksPrepare compliance reports and policiesAssist in corporate governance and filingsConduct legal researchPublic-Private Partnerships (PPP)Assist with PPP and infrastructure projectsReview concession and project agreementsConduct Regulatory ResearchMonitor contractual obligationsLegal Research & SupportConduct legal researchPreparing memos and presentationsSupport business teams on legal queriesProfile: Law degree (Bachelor or Master)Strong academic background in corporate/commercial law0–2 years of experience (internships desirable)Strong analytical and drafting skillsUnderstanding of corporate, contract and compliance lawExcellent communication (English required; French a plus)Attention to detail and strong organizationProactive and solution-oriented mindsetProfessionalism and integrityStrong work ethicWillingness to learnTeam-orientedWhat the Role OffersExposure to high-value M&A and PPP projectsExperience in contract negotiation and complianceInternational working environmentStrong career development potential
