The role holder is responsible for supporting the delivery and ongoing management of governance, risk, and compliance activities across the organization’s portfolio. The role helps maintain robust governance frameworks, supports compliance with regulatory requirements, and contributes to the organization’s objectives through effective portfolio coordination and company secretarial support.If you are ready to embark on a dynamic journey where your talents are valued, and your contributions make a real impact, we would like to hear from you.Key Accountabilities: Governance Support & CoordinationSupport the review and updating of governance documents to ensure alignment with best practices and organizational objectives.Coordinate governance processes across the portfolio, supporting the timely and effective delivery of action items.Support the development, implementation, and ongoing maintenance of the organization’s Governance, Risk, and Compliance Manual.Identify gaps in governance, risk, and compliance processes and recommend practical improvements.Portfolio Management Create and maintain a consolidated snapshot of the organization’s portfolio, including governance bodies for each portfolio company.Ensure investment overviews are accurate and updated, facilitating informed decision-making.Maintain governance trackers and ensure governance records are complete and up to date.Support the monitoring and reporting framework used to track the performance of governance bodies across the portfolio. Contract & Compliance Management Maintain and update the contract management tracker, ensuring it is regularly monitored and kept current.Support the integration of ESG considerations into governance forms and memos.Support the implementation of governance matters in accordance with the governance framework and processes.Support the review of UK and US legal aspects arising in relation to DHI’s activities, escalating complex matters as appropriate.Support compliance reviews to identify potential risks, monitor adherence to governance standards, and follow up on agreed corrective actions.Company Secretarial & Transaction Support Provide company secretarial support for assigned portfolio companies.Support the review of legal aspects of transactions, particularly in relation to UK and US regulations.Ensure governance compliance for transaction-related invoices and other financial matters.Support due diligence activities for transactions, coordinating governance and compliance inputs and escalating material risks as appropriate.Audit & Risk ManagementSupport the Executive Director – Governance, Risk & Compliance on strategic projects and initiatives.Coordinate governance activities for assigned portfolio companies and provide timely updates to senior stakeholders.Support governance-related audit activities, monitor findings, and coordinate follow-up actions.Contribute to the implementation and ongoing maintenance of the risk management framework, supporting the identification, tracking, and mitigation of potential risks.Who we are looking for: 2 – 5 years of experience in a similar role, preferably in an investment environmentRelevant experience in governance, risk, compliance, portfolio management, company secretarial, or legal support activities.Education/Professional Certification: Minimum requirementsBachelor’s degree Technical Competencies: Ability to support the delivery and continuous improvement of governance initiatives.Strong knowledge of governance, risk, and compliance principles, with the ability to identify issues and support mitigation actions.Working knowledge of relevant regulations and compliance requirements.Strong organizational skills and the ability to manage multiple projects simultaneously.Proficiency in analysing data and producing clear, informed recommendations.Ability to collaborate effectively across teams and support colleagues in delivering shared objectives.Excellent verbal and written communication skills.Behavioural Competencies:Ability to interpret complex regulatory requirements and translate them into actionable, practical business steps. Excellent verbal and written communication skills to articulate risk clearly and coordinate effectively across departments.
