We are seeking a deal-hardened transactions lawyer to join our Group Legal team in Dubai as Manager Legal – M&A / Investments / JV. Reporting directly to the General Counsel – Legal, you will run the legal workstreams powering the Group's inorganic growth engine across international markets.This role owns cross-border acquisitions and divestments, joint venture (JV) structuring for mining assets, SPV structuring through UAE holding platforms, and full-spectrum due diligence—legal, regulatory, and ESG—across the transaction pipeline.Key ResponsibilitiesCross-Border Acquisitions & Divestments: Lead legal workstreams end-to-end—from NDAs, LOIs/term sheets, and deal structuring to SPA negotiation, disclosure schedules, W&I insurance, closing management, and post-closing obligations. Negotiate price mechanics (locked box, completion accounts, earn-outs), warranties, indemnities, and risk-calibrated condition packages.Joint Venture Structuring: Structure and negotiate JVAs and shareholders' agreements for international mining ventures, covering governance, reserved matters, funding/dilution mechanics, offtake rights, deadlock, and exit provisions. Address free-carried state interests, local-content/empowerment regimes, and community development obligations within venture architectures.SPV & Holding Platform Structuring: Design SPV and holding structures using UAE platforms (mainland, free zones, DIFC/ADGM) for acquisitions, JVs, and asset-holding in coordination with tax, treasury, and corporate governance teams. Draft structure papers addressing substance, treaty access, exchange control, repatriation pathways, and financing security interfaces.Due Diligence (Legal, Regulatory & ESG): Design and manage diligence programs covering title/mining tenure verification, litigation exposure, environmental permits, and material contracts. Lead ESG and responsible-sourcing diligence (community impact, resettlement, artisanal mining interface, OECD-aligned supply chain standards) and translate findings into structural or price protections.Deal Governance & Integration: Maintain transaction playbooks, precedent banks, and deal-tracker MIS. Manage external counsel with scoped mandates and fee discipline. Drive post-closing integration legal work, including entity onboarding into corporate governance frameworks, contract novations, and 100-day obligation tracking.Qualifications & ExperienceEducational Background: LL.B. from a reputed university is mandatory; an LL.M. in Corporate/Commercial Law is preferred. Training in competition/merger-control filings and ESG due-diligence frameworks is an advantage.Post-Qualification Experience: 3 to 5 years of post-qualification M&A and transactional experience.Industry Background: At least 4–5 years handling cross-border natural resources deals in-house at metals/mining majors or at top-tier corporate law firms serving them.Deal Track Record: Demonstrated end-to-end execution of acquisitions, divestments, and JVs, including personal ownership of at least one African mining or resources transaction.Domain Knowledge: Working familiarity with UAE holding/SPV structures, African mining tenure/empowerment regimes, and ESG due diligence for extractive assets.
