Mergers and Acquisitions Director

Hays are partnering with a leading digital infrastructure platform in the Middle East to appoint a Director of Mergers & Acquisitions as part of its continued growth and expansion strategy.Reporting to senior leadership, this position will play a key role in identifying, evaluating, structuring, and executing strategic transactions, including acquisitions, joint ventures, partnerships, and other investment opportunities. The successful candidate will work closely with internal stakeholders, external advisors, investors, lenders, and strategic partners to drive the organisation's long-term growth agenda.The ideal candidate would have experience across M&A, corporate development, strategic investments, project finance, and joint venture execution within infrastructure, energy, utilities, real estate, digital infrastructure, or other CAPEX-intensive sectors.Key ResponsibilitiesLead the evaluation, origination, structuring, and execution of acquisitions, joint ventures, strategic partnerships, and investment opportunities.Develop detailed financial models, valuations, investment cases, and transaction analyses to support investment decisions.Manage due diligence processes and coordinate internal stakeholders and external advisors throughout transaction execution.Prepare and present investment committee materials, board papers, and recommendations to senior management.Lead negotiations relating to transaction structures, commercial terms, shareholder agreements, and transaction documentation.Work closely with lenders, investors, advisors, and strategic partners on financing and capital structuring initiatives.Support post-transaction integration, value creation, and portfolio management activities.Monitor market developments and identify new growth opportunities aligned to the organisation's strategic objectives.Key Requirements10+ years of experience within M&A, corporate development, strategic investments, infrastructure investing, project finance, or a related field.Demonstrated experience executing acquisitions, strategic investments, joint ventures, partnerships, or complex corporate transactions.Strong financial modelling, valuation, investment analysis, and transaction execution capabilities.Experience working with investment committees, senior executives, boards, lenders, and external advisors.Exposure to infrastructure, energy, utilities, digital infrastructure, real estate, transportation, or other capital-intensive industries is highly preferred.Knowledge of transaction documentation, due diligence processes, shareholder agreements, and financing structures.Bachelor's Degree in Finance, Economics, Accounting, Engineering, Business Administration, or a related discipline.
