We embrace diversity and inclusion in everything we do, guided by our meaningful purpose of a sustainable future for all.www.se.comCorporate M&A TeamThe Corporate M&A Team is part of the Global Finance functions at Schneider Electric and is one of the six specialized finance pillars of the Group – alongside Treasury, Accounting, Tax, Performance Management and Investor Relations.The Corporate M&A Team is the only team inside the Group to have the mandate to execute M&A transactions. As such, the team is responsible for leading execution on all of Schneider Electric’s acquisitions, divestitures and joint ventures globally: from preparing valuation to proposing transaction structure, organizing & managing Due Diligence workstreams, negotiating transaction terms & documents, as well as managing all steps leading to a successful signing and closing of a deal. The Corporate M&A Team is a key contributor to the Group’s strategic value creation and risk management practices.The M&A team works collaboratively with many internal and external stakeholders, hence strong project management skills, collaboration ethics and an appetite for project work are paramount to the success of the team.Today, the team is comprised of c. 12 members, based in Europe, the USA, India and Hong Kong, in order to best meet the needs of the business, and includes a variety of profiles and backgrounds, from Manager to Vice President and Senior VP (head of the team).The role & Responsibilities of the M&A DirectorThis is a fantastic opportunity for a motivated professional seeking to build a multi-faceted career in Finance, to join a diverse, dynamic and results-orientated team as an M&A Director, reporting directly to the Senior VP, Head of Global M&A.As an M&A Director, you will have the opportunity to be involved in a variety of corporate transactions, working on multiple transactions in parallel, working with teams across the business as well as a vast array of internal experts and external advisors, with the direct coaching and supervision of an M&A Vice President in the team, or working directly with the Senior VP, Head of the team, as the case may be, and with the responsibility to work closely with M&A Managers.Responsibilities and Deliverables: Analyze industry reports and equity capital market research to derive relevant information, and coach & direct the M&A Manager on analysis that should be derived from those materialsOwn all financial workstreams on any transaction, with the M&A ManagerBusiness plan modelling and Group financial impact analysis:Interpret and present complex financial data to senior members of the team & senior internal leaders (Senior VPs and above, including Executive Committee members)Coach the M&A Manager to develop financial models to simulate possible scenarios and show validity of investment on any dealLead interactions with key transaction stakeholders and counterparties on financial modelling topics, with ability to challenge constructivelyValuation: prepare valuation materials with the M&A Manager using all relevant methodologies, assessing and predicting financial risks and returnsDriving the financial due diligence workstream on any deal together with the M&A ManagerOwn the overall due diligence process on any deal:Shape the requirements adapted to each deal, and anticipate needsInteract with internal and external experts to understand conclusions and risk factors – adapted to each dealDrive the process end to end to ensure adequate content delivery that meets the deal timelinesOwn the preparation of presentations and other materials, together with the M&A Manager, for the business teams, the Group acquisition committee or internal meetings with senior internal leaders (Senior VPs and above, including Executive Committee members)Understand, drive and negotiate legal documentation on transaction, under supervision from the M&A VP or Head of the teamReview progress of deals with, and get guidance from, the M&A VP or Head of the team, as the case may beWorking with business and corporate functions to ensure handover to integration team post-closingRequirements for the roleInterest in Schneider Electric’s business, mission and valuesStrong capacity to foster collaboration & networking, and work transversally across the organizationOrganization and project management skills; structured way of working; Good attention to detail.
