Fellow is the AI-native California law firm working with founders and funders across the EU and the US. We work with companies from formation through financings and exit, and we are known for making legal fast, clear, and priced up front, with limited billable hours. Big portion of our clients cross from Europe into the US, so we handle the full stack that the move requires, from Delaware entities and cap tables to commercial contracts and M&A. We run our own production AI workflows so our lawyers spend their time on judgment, not admin.Why this role exists?Our European client base is growing fast, and these founders need the full US startup stack built and filed correctly. You would join a team of three US-qualified lawyers with deep cross-border experience, working most closely with our attorney in Prague but equally supporting the US team with whatever they need. This is an early seat on the European side, right as it scales.What will you do?Corporate and governance. Formation, corporate records, board and stockholder consents, and corporate filings.Cap tables. Share issuances, option grants, and keeping Carta clean and current.Financings. SAFEs, convertible notes, and priced-round paperwork, ready for attorney review.Commercial. Contract drafting, NDA review, and support on commercial negotiations.M&A. Diligence, closing checklists, signature coordination, and closing sets.Client service. Same-day responses, live in founders' Slack, issues caught before they hit.Automation. Spot repetitive work and help turn it into a workflow the team reuses, sometimes alongside our CTO.Who are we looking for?Paralegal or trainee experience in corporate, transactional, or commercial workGenuine interest in the US and US startups. No prior US law experience needed, only real eagerness to learn it and grow fastA builder's mindset toward repetitive work.
