Our partner is looking for a Senior Counsel - Commercial Regulatory based in United States.This is a strategic legal role supporting a broad range of sophisticated commercial transactions and regulatory matters.You will serve as a trusted advisor to senior leaders and cross-functional teams, helping the business move forward while managing legal and regulatory risk.The position combines hands-on contract drafting and negotiation with guidance on compliance, government programs, trade, and industry requirements.You will work across functions including supply chain, finance, procurement, engineering, sales, technology, and operations.The role offers significant autonomy and the opportunity to shape scalable legal processes, templates, and contracting practices.You will also help the organization navigate evolving regulations while supporting strategic growth initiatives and complex transactions.This is an ideal opportunity for a commercially minded attorney who enjoys solving complex problems in a fast-paced, business-oriented environment.AccountabilitiesDraft, review, negotiate, and manage a broad portfolio of complex commercial agreements, including master service agreements, procurement and purchase agreements, statements of work, supplier and vendor contracts, licensing agreements, real estate agreements, SaaS and technology agreements, distribution and sales agreements, strategic partnerships, alliances, NDAs, and other commercial arrangements.Lead negotiations involving high-value and strategically important transactions, partnering with business leaders and stakeholders across supply chain, finance, procurement, marketing, engineering, sales, technology, and operations.Identify, assess, and mitigate legal and commercial risks while providing practical, solutions-oriented advice aligned with business objectives.Advise stakeholders throughout the full contract lifecycle, from transaction structuring and negotiation through execution, implementation, and ongoing performance.Develop and maintain contract templates, negotiation playbooks, guidelines, and other legal resources that improve consistency, efficiency, and risk management.Support strategic transactions, corporate initiatives, and other high-priority business matters as needed.Partner with leadership to identify, document, and maintain compliance with applicable federal, state, and local regulatory requirements and economic incentive programs.Advise on regulatory matters involving government initiatives, grants, tax incentives, Foreign Trade Zone operations, cross-border logistics, transportation, customs, trade, and related growth activities.Monitor emerging laws, regulations, and industry requirements, assess their potential business impact, and communicate actionable recommendations to relevant stakeholders.Collaborate with compliance, risk, privacy, information security, and other teams on regulatory programs, policies, procedures, and internal controls.Support responses to regulatory inquiries, audits, investigations, and interactions with governmental or regulatory authorities when appropriate.Identify regulatory considerations within commercial transactions and incorporate appropriate protections, requirements, and risk controls into agreements.Serve as a trusted legal advisor to senior executives and cross-functional teams, translating complex legal and regulatory issues into clear and actionable business guidance.Exercise sound independent judgment when assessing risk, resolving issues, and determining matters that require escalation.Contribute to legal operations initiatives involving process improvement, technology, knowledge management, and greater operational efficiency.RequirementsJ.D. from an accredited law school and admission to at least one U.S. state bar in good standing.Typically 6+ years of relevant legal experience, including substantial experience handling sophisticated commercial transactions.Demonstrated expertise drafting, reviewing, and negotiating complex commercial agreements and allocating contractual risk.Proven ability to independently manage transactions and provide practical, business-focused legal advice to internal stakeholders.Experience advising organizations on regulatory, compliance, or industry-specific legal matters.Strong understanding of contract law, commercial risk allocation, and regulatory considerations affecting business operations.Excellent negotiation, communication, analytical, and problem-solving skills, with the ability to explain complex legal matters clearly to technical and non-technical audiences.Strong business judgment and the ability to balance legal risk with commercial priorities in ambiguous or fast-moving situations.Ability to manage multiple priorities independently while collaborating effectively with senior leaders and cross-functional teams.In-house legal experience within a sophisticated commercial organization is preferred.Experience supporting technology, SaaS, financial services, healthcare, manufacturing, energy, or other highly regulated industries is advantageous.Experience working directly with senior executives and business leadership is preferred.Familiarity with privacy, data protection, consumer protection, advertising, licensing, or other relevant regulatory frameworks is a plus.Experience creating contract playbooks, templates, legal processes, or operational frameworks is beneficial.Prior experience working with regulatory agencies or responding to
