Role Overview We are looking for a Senior Governance and Compliance Executive to manage the day-to-day governance, legal, compliance, and company secretarial requirements of NGI and its subsidiaries. The role will support commercial contract reviews and negotiations, corporate governance activities, legal due diligence, regulatory compliance, and the maintenance of key corporate records across the Group. The successful candidate will work closely with internal stakeholders to ensure contractual and governance obligations are met, legal risks are identified and managed appropriately, and business activities remain aligned with relevant laws, regulations, and internal standards. The role requires strong commercial awareness, sound judgment, attention to detail, and the ability to work independently in a fast-paced, multi-entity environment. Role & Responsibilities Commercial and Contract Compliance

• Assist in implementing and managing the contract compliance framework based on guidelines provided.
• Conduct regular audits to ensure adherence to the compliance framework, and report findings to the management team.
• Review customer contracts to ensure the terms and conditions are in alignment with organizational goals and targets.
• Discuss and negotiate required amendments with client representatives to ensure the most favorable terms and conditions while maintaining a professional and amicable relationship with clients.
• Keep abreast of any changes in legislation or industry practices that may impact commercial terms and compliance framework and advise the relevant teams accordingly.
• Assist in the development of standardized contract templates and clauses to expedite the contract review and approval process, ensuring all templates are in compliance with the organizational guidelines. Corporate Governance
• Maintain a directory of all legal documents and filings required by the legal jurisdictions we operate.
• Maintain the records of the Cayman registrar for NGI and other Cayman-based entities.
• Performing legal due diligence on contracts and business agreements.
• Conducting legal research.
• Preparing necessary Board and other resolutions.
• Maintaining Board minutes for NGI and other Board meetings as required.
• Assist in the group re-organization and simplification exercise.
• Maintain the shareholder register for all companies in the group. Technical Competencies/Skills:
• Excellent Excel, Word, and Outlook skills.
• Experience with corporate commercial law and contract law.
• Fluent in English and Arabic (written and spoken).
• Excellent understanding of the basic principles, concepts, and methodology of legal proceedings and legal research.
• Strong organizational skills and attention to detail, with the ability to multi-task effectively in a high-volume and complex environment with changing priorities.

Minimum 5 years of experience in governance, compliance, legal, or commercial contracts within a multi-jurisdictional environment , preferably across North Africa and/or the MENA region . Proven experience in developing and reviewing contract templates and standard contractual clauses. Strong client-facing experience , with the confidence to engage professionally with external stakeholders. Excellent negotiation skills , with the ability to balance legal and commercial considerations. Strong critical thinking skills, with the ability to assess complex legal matters and provide practical, business-focused solutions. High attention to detail , particularly when reviewing contracts, legal documents, and compliance requirements. Sound decision-making skills , with the ability to assess legal risk while supporting business objectives. Strong organizational, planning, and interpersonal skills . Able to work effectively in a fast-paced environment and manage multiple priorities.
