Apply & track with Apply EdgeKey Responsibilities Oversee and lead legal matters across all our divisions: contract law, real estate, energy, investments, corporate advisory, and labour compliance. This role is pivotal in ensuring legal risk is minimized while supporting strategic decision-making.The ideal candidate must have a solid educational foundation in British/Common Law, possess deep knowledge of the UAE and Common Law legal frameworks. and demonstrate proven experience in managing legal affairs in corporate environments, preferably within regulated or international sectors.Core Areas of Responsibilities: Legal Compliance & Advisory
- Provide expert legal counsel on UAE Federal Laws and regulations, Common Law and regulations, and international regulatory laws.
- Monitor changes in relevant legislation and the regulatory environment and advise management accordingly.
- Represent the company in legal proceedings, dispute resolutions, and regulatory matters.
- Liaise with external law firms, government bodies, and regulatory authorities as needed.
- Ensure all company operations and policies comply with statutory and legal requirements.
- Handle risk management, legal compliance, and advise on legal exposure or potential litigation.
- Maintain legal documentation and ensure proper filing systems.Contract Management
- Draft, review, and negotiate a wide range of agreements: Shareholder agreement, development agreement, investment agreement, NDAs, MOUs, brokerage contracts, vendor contracts, service-level agreements, and partnership terms.
- Maintain and standardize legal documentation templates in line with best practices and legal updates.
- Provide legal oversight during commercial negotiations and business structuring.Real Estate Legal Advisory
- Advise on real estate transactions, ownership structures, RERA compliance, and regulatory requirements.
- Manage property-related disputes and escalations in coordination with internal teams and external counsel.
- Review real estate documentation such as purchase agreements, title transfers, and lease contracts.Corporate Legal Affairs
- Advise on matters related to company formation, shareholder agreements, board resolutions, and corporate governance.
- Ensure corporate records are maintained in accordance with UAE commercial law.
- Support internal audits, restructuring efforts, and legal documentation related to operational strategy.Litigation & Dispute Management
- Assist in managing legal disputes, litigation, or claims involving the Regulatory Authority or regulated entities, ensuring the Authority’s position is effectively represented in all legal forums.
- Help coordinate the assignment of legal personnel or external counsel to specific cases based on required expertise.
- Participate in tracking and managing ongoing legal cases to ensure timely resolution and compliance with procedures.Candidate Profile
- Bachelor’s degree in law (LLB) from a recognized university; postgraduate legal qualification is an advantage.
- Minimum 7 years of legal experience, with at least 4 years in the UAE, including DIFC or international legal exposure.
- Professional legal qualification/admission to practice in a recognized jurisdiction is preferred.
- Strong academic or professional grounding in British/Common Law.
- Strong knowledge of UAE corporate, commercial, real estate, and employment laws.
- Relevant experience in an in-house corporate legal function, law firm, family office, diversified group, real estate, investment, energy, or similar environment.
- Strong experience in commercial contract drafting, review, negotiation, and legal risk assessment.
- Exposure to investment transactions, joint ventures, corporate structuring, or real estate development would be highly advantageous.
- Excellent English drafting, communication, negotiation, and stakeholder-management skills.
- Ability to independently manage multiple legal matters and work directly with senior management and external counsel.
