Senior Legal Counsel - Corporate Lawyer

قدّم وتابع مع أبلاي إيدجThe Legal Counsel – Corporate Lawyer role involves providing comprehensive legal support on M&A, private equity and corporate finance transactions, while working closely with external parties such as consultants, contractors, vendors, and service providers. We are looking for somebody who is able to work independently and take ownership of transactions (whilst being supported by Legal Director and Head of Legal) and must be comfortable taking ownership of complex transactions. Day to Day Tasks Analyze legal risks and opportunities related to corporate structures, ensuring compliance with regulatory requirements. Conduct legal research and due diligence for private equity deals, joint ventures and acquisitions. Coordinate with internal teams, external counsel, and other stakeholders to ensure timely and effective execution of corporate-related legal matters. Develop and recommend legal strategies for structuring joint ventures, equity deals, and other corporate finance transactions. Provide legal advice and support for real estate development projects, particularly on corporate-related issues.Facilitate negotiations with investors and other parties to secure favorable terms for OMNIYAT’s projects. Optimize legal processes and documentation related to corporate finance, improving efficiency and minimizing legal exposure. Maintain a comprehensive and organized track record of all corporate finance agreements, contracts, and legal documents, ensuring proper filing, updating, and accessibility. Monitor and ensure compliance with laws, financial regulations, and industry standards across all projects. Assist the Legal Director and Head of Legal in managing and overseeing corporate finance-related legal tasks, including strategic planning, risk management, and process improvement. Ensure all agreements and contracts are accurately documented, with key terms and deadlines properly tracked and communicated to relevant teams.Coordinate with the Legal Director to assist in the preparation of legal reports and presentations for senior management regarding corporate finance matters.Qualifications & ExperienceBachelor's Degree in Law (LLB); LLM, qualified solicitor, or attorney license Minimum 10 Years of experience in similar field of law Excellent communication, drafting and negotiation skills; strong leadership and stakeholder management capabilities across internal and external parties; sound commercial judgement; strong analytical, organizational and problem-solving abilities; ability to manage multiple complex transactions under tight deadlines. Expert knowledge of corporate and commercial law and company structuring; strong skills in drafting and negotiating SPAs, incorporated and unincorporated JVs and shareholders' agreements, and complex commercial contracts; sound understanding of corporate governance, M&A, and regulatory compliance (DLD/RERA) preferred.
