We provide a wide spectrum of professional services from company secretarial & compliance, ESG Reporting and Consulting, Trust and ESOP, Investor Relations, Corporate Training and corporate supporting services across different jurisdictions and different stages, from pre-IPO, IPO process, to post-listing.KEY RESPONSIBILITIESHead of Legal, Compliance and Internal Control Department;Draft, negotiate and review all services agreements with clients, and commercial agreements and related documents with 3rd party;Provide legal advice and support to senior management and all professional services teams (Listed Company, Private Company, ESG, Trust, etc.) in relation to and arising from its operations and ad hoc projects;Oversee day-to-day compliance task to ensure adherence to AMLO, Company Registry, China Resources Group’s rules, guidelines and policies. This includes providing support on regulatory reporting/filing, TCSP licensee’s reporting/filing, drafting/updating internal policies, procedures and KYC/CDD compliance manual (as appropriate);Prepare, review and streamline internal control processes and professional services practices by develop, review and update relevant policies, procedures, standard templates and listed company secretarial practices, checklists and bulletins;Conduct legal research and closely monitor regulatory updates, including SFC, HKEx, Company Registry and other applicable jurisdictions;Cooperate and coordinate with China Resources Group’s legal counsel on group’s latest legal and compliance issues or requests and external legal counsel on commercial transactions or disputes;Actively provide technical support to professional service teams day-to-day operation and practices, and escalate to senior management when necessary;Prepare publication of regulatory updates and newsletters, as well as provide briefing and training, for internal staff and external parties;Prepare written submissions or replies to SFC, HKEx or other regulatory bodies on relevant consultations and proposals in particular on those affecting the company’s professional services; andAd hoc projects as assigned by CEO and senior management.REQUIREMENTSA Hong Kong qualified solicitor, preferably also a Member or Fellow of The Hong Kong Chartered Governance Institute (HKCGI), Chartered Governance Professional (CGP), and/or Chartered Secretary (CS);3 years or above post-qualification experience in law firm or in-house environment. In-house experience in State-Owned Enterprise would be a definite advantage;Possess problem-solving ability in complicated situations involving legal and compliance issues and develop workable solutions for different scenarios;Strong project management skills with the ability to complete legal projects and to execute multiple projects with precision;Strong legal skills (drafting, research and analytical) and well-versed and deep understanding and practice in Hong Kong Companies Ordinance, Listing Rules and Securities and Futures Ordinance;Strong communication, interpersonal skills and presentation skills;Good command of spoken English, Putonghua and Cantonese and written English and Chinese;High ethical standard, pleasant, detail-orientated, well-organised and strong sense of responsibility; andProficiency in MS Word, Excel and PowerPoint and Chinese Words input.We offer attractive salary and benefits to successful candidates, including five-day work week, medical & dental benefits, performance & loyalty bonus.Equal Opportunity StatementApplicants who are not contacted within six weeks may consider their application unsuccessful.
